Aixia Group AB (publ): White Pearl Technology Group controls 96.43 percent of the shares in Aixia Group after the offer has been completed

White Pearl Technology Group's public takeover offer to the shareholders of Aixia Group AB (publ) has been completed. After the expiry of the acceptance period on 10 August 2026, White Pearl Technology Group controls 96.43 percent of the capital and 97.73 percent of the votes in Aixia Group.

On 1 June 2026, White Pearl Technology Group AB (publ) ("WPTG") announced a public takeover offer to the shareholders of Aixia Group AB (publ) ("Aixia").

The offer meant that for each share, the shareholders of Aixia were offered 5.33 newly issued shares in WPTG and SEK 10 in cash.

At the expiry of the acceptance period on 10 August 2026, the offer had been accepted to such an extent that WPTG controls 96.43 percent of the capital and 97.73 percent of the votes in Aixia. WPTG has announced that the offer is hereby terminated.

Delivery and payment of the consideration for the shares tendered in the offer, consisting of 5.33 newly issued shares in WPTG and SEK 10 in cash per share in Aixia, is expected to commence around August 26, 2026.

WPTG has further announced that the company intends to invoke compulsory redemption of the remaining shares in Aixia in accordance with the Swedish Companies Act and to work towards a delisting of Aixia's shares from the Spotlight Stock Market.
