STOCKHOLM – Elekta (EKTA-B.ST) today announced a partnership with MSD (Merck & Co., Inc., Rahway, N.J., USA) to develop digital patient monitoring for people with advanced renal cell carcinoma (RCC), using Elekta’s Kaiku Health solution, a digital platform for patient engagement and reported outcomes monitoring.
The standard of care for frontline advanced RCC has become immuno-oncology (IO)-based combination therapy (IO- tyrosine kinase inhibitors* (TKI) [for favorable and intermediate-to-poor risk patients ] or IO-IO [for intermediate-to-poor risk patients only]). Despite its effectiveness, optimal and timely management of potential side effects is a key consideration for healthcare providers to ensure patients get the most from their prescribed treatment.
Elekta, with support from MSD, will develop a digital module for patients, keeping them connected with their care team, and educating them about their disease, the treatment and possible side effects.
This module includes comprehensive symptom monitoring and patient support, providing patients with tailored and timely symptom monitoring. In addition, the module offers digital education and support materials created specifically for IO-TKI combination therapy in advanced RCC. The module will be validated in 2024 in collaboration with multiple leading cancer clinics in Europe.

STOCKHOLM – Elekta (EKTA-B.ST) tillkännagav idag ett partnerskap med MSD (Merck & Co., Inc., Rahway, N.J., USA) för att utveckla digital patientövervakning vid avancerad njurcellscancer (RCC) med hjälp av Elektas Kaiku Health-lösning, en digital plattform för patientengagemang och rapporterad resultatövervakning.
Standardvården för avancerad RCC i frontlinjen har blivit immunonkologisk (IO)-baserad kombinationsterapi (IO-tyrosinkinashämmare* (TKI) [för patienter med gynnsam och medel-till-dålig risk] eller IO-IO [endast för patienter med medel-till-dålig risk]). Behandlingen är effektiv, men en avgörande aspekt för vårdgivare är optimal och snabb hantering av potentiella biverkningar, så att patienterna får ut mesta möjliga av sin ordinerade behandling.
Med stöd av MSD kommer Elekta att utveckla en digital modul för patienter som de kan använda för kontakt med vårdteamet och som utbildar dem om deras sjukdom, behandlingen och de möjliga biverkningarna.
Modulen erbjuder omfattande symtomövervakning och patientstöd som ger individuellt anpassad övervakning av patienterna och snabb upptäckt av symtom. Den innehåller även digitalt utbildnings- och supportmaterial som har tagits fram särskilt för kombinationsbehandling med IO-TKI vid avancerad RCC. Modulen kommer att valideras 2024 i samarbete med flera ledande cancerkliniker i Europa.

I januari fick Elekta en order på cirka 22 miljoner EUR från hälsoministeriet i Kroatien. In January, Elekta received an order amounting to approximately EUR 22 million from the Ministry of Health in Croatia. MOSAIQ rankades på första plats i kategorin onkologi (strålning). KLAS är ett oberoende analysföretag som använder feedback från tusentals leverantörer för att välja mottagare för sina utmärkelser.

HELSINGFORS – Elekta (EKTA-B.ST) tillkännagav idag ett pilotsamarbete med Bristol Myers Squibb för att utveckla en digital lösning för patienter med melanom. Samarbetet utnyttjar Elektas digitala hälsointerventionsplattform, Kaiku Health, för att underlätta kommunikation mellan sjukvårdpersonal och deras patienter om symtomhantering.
Elektas digitala lösning kommer att ge patienter ett användarvänligt sätt att dela relevant information om sitt välbefinnande med sitt vårdteam och att få skräddarsytt stöd och vägledning under behandlingen. Genom att använda maskininlärningsalgoritmer kommer plattformen att möjliggöra realtidsutvärdering av patientrapporterade data, vilket ger vårdgivare personanpassade data som kan förbättra patientens vård och upplevelse.

HELSINKI – Elekta (EKTA-B.ST) today announced a pilot collaboration with Bristol Myers Squibb to develop a digital solution for patients with melanoma. The collaboration leverages Elekta’s digital health interventions platform, Kaiku Health, to facilitate communication between healthcare professionals and their patients on symptom management.
Elekta’s digital solution will provide an accessible, user-friendly way for patients to share relevant information on their wellbeing with their care team, and to receive tailored support and guidance during treatment. By utilizing machine learning algorithms, the platform will enable real-time evaluation of patient-reported data, providing healthcare providers with personalized insights that may improve patients’ care pathway and care experience.

Thousands of cancer patients to benefit from suite of advanced precision radiation therapy solutions
STOCKHOLM – Elekta (EKTA-B.ST) announced today that it has received an order for approximately USD 40 million from one of India’s largest corporate healthcare groups, Krishna Institute of Medical Sciences (KIMS) Hyderabad. The combination of solutions includes Elekta’s full suite of hardware and software, such as Elekta Unity MR-Linacs; Esprit (Elekta’s latest Leksell Gamma Knife) systems; Versa HD linear accelerators; Flexitron brachytherapy afterloaders; and Elekta One suite of oncology software solutions.
Dr. Bhaskar Rao Bollineni, Chairman and Managing Director of KIMS Hospitals, said: “We are delighted to partner with Elekta to bring these cutting-edge technologies to our patients. These devices and software will enable us to provide more personalized and precise treatments for various types of cancers, while minimizing side effects and improving quality of life. We are committed to offering the best possible care to our patients and investing in innovation that can make a difference.”
Approximately 1.3 million people were diagnosed with cancer in India in 2020.[1] KIMS Hyderabad’s acquisition of Elekta devices and software will help address many of these cases and improve the availability and quality of cancer care.

This order was booked in the second quarter of Elekta’s 2023/24 fiscal year, and the first installations are expected during the fourth quarter of the 2023/24 fiscal year.

Clinics and cancer patients to benefit through access to wider range of precise and effective brachytherapy cancer treatment
STOCKHOLM – Elekta (EKTA-B.ST) announced today it has acquired the Xoft business from iCAD, Inc. (NASDAQ: ICAD) through an asset acquisition. By acquiring the Xoft Axxent Electronic Brachytherapy (eBx) System, together with the transfer of employees, Elekta, the world leader in brachytherapy solutions, will now be able to offer electronic brachytherapy technology and provide an expanded range of cancer treatment options.
Xoft's unique technology, which uses a miniaturized low energy X-ray source instead of a radioactive isotope, can be used in a variety of clinical settings with minimal shielding. Today, it is used primarily for intraoperative treatment of breast cancer, non-melanoma skin cancer, gynecological cancers and additional clinical indications are being developed.
John Lapré, President Brachy and Neuro Solutions at Elekta, said: “Bringing Xoft’s technology into our portfolio offers exciting prospects to grow the adoption of brachytherapy and provide greater access to patients eligible for this treatment. We will be able to provide a wider range of radiation therapy options that are tailored to the specific needs and preferences of the clinics we support, while helping to reduce their operational costs – since no extensive shielding is needed – and minimize their logistical challenges such as importing radioactive material.”
The Xoft System has an installed base of more than 100 systems, compared with 1,900 Elekta Flexitron afterloaders. Elekta solutions are used in more than 120 countries and through its global network, the Xoft technology will now be able to reach more patients in need of personalized, precision radiation therapy.
The intention is to complete the transaction during the second quarter of Elekta’s fiscal year 2023/24.
The Xoft System is FDA-cleared and CE-marked for the treatment of cancer anywhere in the body using a miniaturized X-ray source to deliver a precise, concentrated dose of radiation directly to a tumor site.

Kliniker och cancerpatienter får tillgång till ännu fler effektiva precisionsbehandlingar med brakyterapi
STOCKHOLM – Elekta (EKTA-B.ST) meddelade idag att det har förvärvat Xoft-verksamheten från iCAD, Inc. (NASDAQ: ICAD) genom ett tillgångsförvärv. Genom att förvärva Xofts Axxent-system för elektronisk brakyterapi (eBx), tillsammans med överföringen av anställda, kan Elekta, världsledaren inom brakyterapilösningar, nu erbjuda elektronisk brakyterapiteknik och erbjuda utökade behandlingsmöjligheter för cancer.
Xofts unika teknologi bygger på en miniatyriserad lågenergiröntgenkälla istället för en radioaktiv isotop och kan därför användas i olika kliniska sammanhang med minimalt strålskydd. Idag används systemet främst för intraoperativ behandling av bröstcancer, melanom och gynekologiska cancerformer, med fler kliniska indikationer under utveckling.

Elekta wins public tender to deliver several Harmony linear accelerators to help meet demand for cancer treatments
STOCKHOLM – A new order for several Elekta (EKTA-B.ST) Harmony linear accelerators (linacs) in Ukraine will complement the extraordinary efforts of clinical staff, Elekta workers, and our distributor, who have worked tirelessly to maintain radiation therapy treatments throughout the war. Now, through a partnership with the Ministry of Health, Ukrainians will have access to modern radiation therapy devices, the first of which are expected to begin treating cancer patients in 2024. The Harmony systems will be placed in half of Ukraine’s provinces as well as at the National Cancer Institute in the capital, Kyiv.
Before the war, Ukraine had a shortage of radiation therapy, a treatment required by more than half of all cancer patients. Shortly after the invasion, only four of the eight hospitals using Elekta linacs were able to treat patients due to being damaged.
Elekta immediately supported cancer clinics in neighboring countries such as Poland, Romania and Moldavia, where Ukrainians sought refuge, allowing many patients to continue ongoing cancer treatments. And for hospitals still in operation, Elekta provided a free-of-charge service line for crisis support, remote service and managed to deliver spare parts when possible. Eventually, most clinics were able to begin treating again and the linacs now have higher uptime than prior to the invasion.
Due to the loss of infrastructure, Elekta could initially only help with distant support, utilizing IntelliMax, the remote system connection whereby Elekta can monitor machine status, wherever possible. In one instance, an Elekta Support Specialist in Poland was able to diagnose an issue and guide the hospital team in Dnipro, Ukraine to get their system operating again.
As with all of Elekta’s radiation therapy devices, the new Harmony linacs will have IntelliMax functionality, in addition to enabling the latest advanced radiotherapy techniques, while simplifying and streamlining the radiotherapy process.

Elekta vinner offentlig upphandling och bidrar till att tillgodose behovet av cancerbehandlingar genom att leverera ett antal Harmony linjäracceleratorer
STOCKHOLM – En ny beställning på ett antal Elekta (EKTA-B.ST) Harmony linjäracceleratorer (linac-system) till Ukraina blir ett bidrag till de extraordinära insatserna från klinisk personal, Elektamedarbetare och vår distributör i Ukraina, som har arbetat oförtröttligt för att kunna fortsätta ge strålbehandlingar under hela den tid kriget har pågått. Tack vare ett partnerskap med Ukrainas hälso- och sjukvårdsministerium kommer cancerpatienter i landet nu att få ökad tillgång till toppmodern utrustning för strålbehandling. Enligt planen ska de första systemen tas i bruk 2024. Harmony-systemen ska placeras i hälften av Ukrainas län samt på det nationella cancerinstitutet i huvudstaden Kiev.
Över hälften av alla cancerpatienter behöver strålbehandling, och även före kriget var behandlingskapaciteten i Ukraina otillräcklig. Redan kort efter invasionen gjorde materiella skador att bara fyra av de åtta sjukhus som hade linjäracceleratorer från Elekta kunde fortsätta använda dem för att behandla patienter.
Elekta satte genast in stöd till cancerkliniker i grannländer som Polen, Rumänien och Moldavien, där flyktingar från Ukraina sökte skydd. På så sätt kunde många patienter fortsätta med sina pågående cancerbehandlingar. För de sjukhus i Ukraina som fortfarande var i drift ordnade Elekta fjärrtjänster och en servicelinje för krisstöd kostnadsfritt och levererade reservdelar närhelst det var möjligt. Slutligen kunde de flesta av klinikerna börja med behandlingar igen, och i dag är linjäracceleratorerna i drift större del av tiden än före invasionen.
Eftersom så mycket av infrastrukturen i Ukraina har förstörts kunde Elekta till en början bara hjälpa till med support på distans med hjälp av IntelliMax, ett system för fjärruppkoppling som Elekta kan använda för att övervaka maskinstatus. I ett fall lyckades till exempel en av Elektas supportspecialister i Polen använda IntelliMax för att diagnostisera ett fel och vägleda sjukhusteamet i Dnipro i Ukraina så att de fick igång sitt system igen.
Liksom alla övriga Elekta-produkter för strålbehandling fungerar de nya Harmony-linjäracceleratorerna med IntelliMax. Och förutom att de bygger på den allra senaste tekniken för avancerad strålbehandling både förenklar och effektiviserar de dessutom strålbehandlingsprocessen.

Elekta MR-Linac Consortium demonstrates how Elekta Unity continues to open up new applications for Elekta Unity
SAN DIEGO – Elekta (EKTA-B.ST) today announced that Elekta Unity MR-Linac clinical users presented several abstracts highlighting how the high-field system is pushing the boundaries of radiation therapy. The data were presented as part of the scientific program during the 2023 American Society for Radiation Oncology Annual Meeting (ASTRO) October 1-4 in San Diego, California.
Throughout the congress, leading hospitals in the U.S. and Europe shared how using online plan adaptation and Comprehensive Motion Management (CMM) with Elekta Unity have changed the way they treat patients.
“This was our first week treating patients with the CMM upgrade with Elekta Unity and I am impressed,” says Daniel Hyer, PhD, Professor of Radiation Oncology at the University of Iowa Health Care. “On a pelvic node, the system gated the beam during unexpected patient motion. On another patient, we were able to perfectly track a target next to the heart despite cardiac and respiratory motion. I fully expect that we will begin treating the majority of our lung cases on the Unity system.”
Similarly, Professor Filippo Alongi, Full Professor and Chairman of the Advanced Radiation Oncology department at the IRCCS Ospedale Sacro Cuore Don Calabria in Negrar, Italy, explained how he was able to shrink planning target volume margins on a liver tumor without the need for fiducials or difficult to tolerate breath hold.
“With Unity and CMM we will be able to radically change the approach for patients; now we can be precise in a way that was not possible before. With the high-quality imaging and the possibility to interrupt the beam when the target is outside the boundaries, we can eliminate uncertainties of movement allowing us to treat more indications with MRgRT, reduce margins and increase dose. We’re deeply impressed by the innovation of Comprehensive Motion Management and what it will mean for patients,” says Prof. Alongi.

Elekta MR-Linac-konsortiet visar hur Elekta Unity fortsätter öppna för nya användningar av Elekta Unity
SAN DIEGO – Elekta (EKTA-B.ST) meddelade i dag att kliniska användare av Elekta Unity MR-Linac har presenterat studier som belyser hur högfältssystemet flyttar fram gränserna för strålbehandling. Det handlar om data som presenterades som en del av det vetenskapliga programmet under onkologikonferensen ASTRO 2023 – American Society for Radiation Oncology Annual Meeting – 1 till 4 oktober i San Diego i Kalifornien.
Under hela konferensen vittnade ledande sjukhus i USA och Europa om hur onlineanpassning och CMM (Comprehensive Motion Management) med Elekta Unity har förändrat deras behandling av patienterna.

Filippo Alongi, professor och ordförande för avdelningen Advanced Radiation Oncology på sjukhuset IRCCS Ospedale Sacro Cuore Don Calabria i Negrar i Italien, redogjorde även han för hur han kunnat krympa de planerade marginalerna för målvolymen för en levertumör utan både referensmarkörer och svårhanterliga krav på att patienten skulle hålla andan.
”Med Unity och CMM kan vi göra en radikal förändring av vår patientstrategi. Nu kan vi uppnå en precision som inte var möjlig tidigare. Med högkvalitativ avbildning och möjlighet att avbryta strålningen när målet befinner sig utanför gränsen kan vi eliminera osäkerhet på grund av rörelser, så att vi kan behandla fler indikationer med MRgRT, minska marginalerna och höja dosen. Vi är djupt imponerande av innovationen CMM och vad den kommer att betyda för patienterna”, säger professor Alongi.

CRAWLEY, UK – Today, 40 Elekta (EKTA-B.ST) employees will embark on a 500 km cycle challenge to raise awareness and funds for women with advanced-stage cervical cancer in the Gicumbi district of Rwanda on behalf of the Elekta Foundation. Together, the team of cyclists has already raised more than USD 50,000, making Ride4Rwanda the Foundation’s largest fundraising event since it was launched in early 2022.
The cyclists will depart from Elekta’s office in the UK and will arrive in Amsterdam on September 17. Each participant has raised at least USD 1,200 so far and the top fundraiser will have the opportunity to visit the Elekta Foundation’s project in Rwanda and see, firsthand, how the Foundation works with key partners to eliminate cervical cancer in Rwanda.
One Elekta colleague, Fei Yin, who is riding from the UK to the Netherlands, says: “There’s no greater motivation than supporting an extraordinary cause and contributing to a positive global impact. This initiative demonstrates our commitment to supporting cancer patients, their families, and the medical community.”

CRAWLEY, STORBRITANNIEN – I dag ger sig 40 Elekta-medarbetare (EKTA-B.ST) ut på en 500 km lång cykeltur för att öka medvetenheten och samla in medel till kvinnor med långt framskriden livmoderhalscancer i Gicumbidistriktet i Rwanda för Elekta Foundation. Cykelteamet har redan samlat in mer än 50 000 US-dollar och därmed gjort Ride4Rwanda till Elekta Foundations största insamling sedan stiftelsen lanserades i början av 2022.
Cyklisterna startar från Elektas kontor i Storbritannien och anländer till Amsterdam den 17 september. Hittills har varje deltagare samlat minst 1 200 US-dollar, och den som lyckas få ihop den största summan får möjligheten att besöka Elekta Foundations projekt i Rwanda och med egna ögon se hur stiftelsen tillsammans med viktiga samarbetspartners jobbar på att utrota livmoderhalscancer i Rwanda.
Fei Yin är en av de Elekta-medarbetare som cyklar från Storbritannien till Nederländerna: ”Det finns ingen bättre motivation än att stödja ett oerhört viktigt ändamål och bidra till att påverka globalt. Initiativet visar vårt åtagande att stödja cancerpatienter, deras familjer och sjukvården.”

Dr. Laurent Leksell, Elekta’s Founder and Chairman of the Board, and IAEA’s Director General, Dr. Rafael Mariano Grossi meet in Stockholm to discuss reducing the global cancer burden
STOCKHOLM, Sweden – Elekta (EKTA-B.ST) and the IAEA have signed a partnership agreement to jointly pursue common interests, including making advanced cancer treatment available to more patients. The agreement was signed on Monday, August 28 at Elekta’s headquarters in Stockholm during a three-day visit to Sweden by Dr. Grossi and IAEA representatives.
The purpose of this partnership is to improve cancer treatment with the intent to close the gap in access to radiation therapy around the world. This closer collaboration will enable a continuous dialogue and knowledge sharing in the coordination and implementation of joint efforts. Specifically, it will address low- and middle-income countries and include awareness raising activities, the development of training resources, as well as the use of digital tools to improve treatment quality and facilitate research.
The organizations share a common vision with the IAEA’s Rays of Hope program and Elekta’s ACCESS 2025 strategy. Each of these supports the UN’s Sustainable Development Goal 3 (Good Health and Well-Being), Indicator 3.4, to reduce premature mortality from non-communicable diseases by one third.
Dr. Laurent Leksell said: “Close to 20 million people are diagnosed with cancer each year and this is expected to increase. Elekta and the IAEA have had a long-standing relationship committed to reducing this grim statistic by enhancing access to cancer care in developing countries. Together, we will be able accelerate our efforts and make a greater impact on the lives of people with cancer, especially in underserved countries.”
Dr. Rafael Mariano Grossi added: “We must all work together to tackle a growing cancer burden around the world, especially in developing countries with little or no access to essential medical services required for this disease. Under the new partnership agreement, Elekta and the IAEA are seeking to expand previous cooperation, which, to date, has included the facilitation of training as well as the provision of radiation therapy solutions, such as linear accelerators, brachytherapy treatment equipment, treatment planning workstations and related software, in several IAEA Member States.

STOCKHOLM, Sweden – Elekta och IAEA har signerat ett partnerskapsavtal kring samarbete om gemensamma målsättningar som att tillgängliggöra avancerad cancervård för fler patienter i världen. Avtalet undertecknades måndagen den 28 augusti på Elektas huvudkontor i Stockholm, som en del av Dr. Grossis tredagarsbesök i Sverige.
Syftet med avtalet är att förbätta cancervården och utjämna skillnaderna i tillgång till strålterapi i världen. Genom detta närmare samarbete, med en tätare dialog och kunskapöverföring säkras koordinering och implementering av gemensamma insatser. Dessa handlar specifikt om att fokusera på låg- och medelinkomstländer för att där öka medvetenhet kring strålbehandling, utveckla inhemsk utbildning och digitala verktyg som förbättrar vårdkvaliteten och underlättar för cancerforskning.
IAEAs program Rays of Hope och Elektas strategy ACCESS 2025 delar en gemensam vision kring ökad tillgänglighet, vilket även stöds av FNs hållbarhetsmål om att minska dödligheten från icke-smittsamma sjukdomar med en tredjedel.
Dr. Laurent Leksell sa: “Närmare 20 miljoner människor diagnosticeras varje år med cancer och det är en siffra som förväntas stiga. Elekta och IAEA har sedan länge ett samarbete som syftar till förbättrad tillgång till cancervård i utvecklingsländer. Tillsammans kommer vi kunna accelera våra ansträngningar än mer vilket kommer underlätta för människor som drabbas av cancer, inte minst i länder med bristande tillgång till vård.”
Dr. Rafael Mariano Grossi tillade: ”Vi måste alla arbeta tillsammans för att möta den ökade cancerbördan i världen, inte minst i utvecklingsländer med liten eller ingen tillgång till den nödvändiga medicinska resurser som krävs för dessa sjukdomar. Genom vårt Rays of Hope-program, intensifierar vi våra anstängningar att tillgängliggöra cancervård för dem som behöver det som mest. Att förena dessa ansträngningar med andra nyckelaktörer, såväl offentliga som privata, kommer ge an hävstångseffekt och rädda oräkneliga liv. Det nya avtalet innebär att Elekta och IAEA kommer att utöka och expandera nuvarande samarbeten, vilka hittills har bestått av att tillhandahålla utbildning och även utrustning, som till exempel linjäracceleratorer, brachyterapi, mjukvara m.m. i flera av IAEAs medlemsländer.

A summary of the resolutions taken by the Meeting follows.
Accounting documents and discharge from liability
The Directors as well as the President and CEO were discharged from liability for the financial year of 2022/23 after the income statements and balance sheets for the Parent Company and the Group were adopted.
Dividend and disposition of the Company's earnings
The Meeting resolved on a dividend corresponding to SEK 2.40 per share and that the remaining profits are carried forward. The dividend is to be divided into two payments of SEK 1.20 per payment.
The first record day is Monday, 28 August, 2023. The second record day is Tuesday, 27 February, 2024. The dividend is expected to be paid out on Thursday, 31 August, 2023 and on Friday, 1 March, 2024 respectively.
Board of Directors
The Meeting re-elected Directors Laurent Leksell, Caroline Leksell Cooke, Kelly Londy, Wolfgang Reim, Jan Secher, Birgitta Stymne Göransson and Cecilia Wikström, and Tomas Eliasson and Volker Wetekam was elected as a new Directors. Laurent Leksell was reelected as the Chairman of the Board of Directors.
The Meeting resolved that the remuneration to the Board of Directors shall be increased in relation to the previous year, in accordance with the Nomination Committee’s proposal.
Auditor
Ernst & Young AB, with the authorized auditor Rickard Andersson, was reelected as the Company’s auditor for the period until the end of the next Annual General Meeting and the fee to the auditor shall be paid according to the approved invoice.
The Board of Directors’ remuneration report
The Meeting approved the Board of Directors’ remuneration report on remuneration.
Performance Share Plan 2023
The Meeting resolved on the establishment of the Performance Share Plan 2023 in accordance with the Board of Directors’ proposal, and on the transfer of own shares due to the Performance Share Program 2023.
The program includes the President and CEO, executive management and nominated key contributors, all in all about 25 employees, who will qualify for allotment, free of charge, of shares of series B in Elekta following expiry of the three-year performance period and provided a continued employment in the Group until the end of September 2026. The maximum number of shares that can be allotted is dependent on dependent on the degree of fulfilment of three targets, Elekta’s Total Shareholder Return (“TSR”) relative to the OMXS30 Index over a three-year period and two ESG targets. For the Performance Share Plan 2023, the minimum performance requirement regarding the TSR target is that Elekta TSR outperform the OMXS30 Index with at least +0,1 per cent. The maximum performance level requires that Elekta TSR outperform the OMXS30 Index at or above +15 per cent. Regarding the ESG targets, the minimum performance requirement is that Elekta installs 502 linacs in underserved markets and reduces its’ CO2 emissions from operations by 0.1 per cent during the three-year performance period. The maximum performance level requires Elekta to install 652 linacs in underserved markets and reduces its’ CO2 emissions from operations by 13.86 per cent during the three-year performance period.
The performance targets shall be adjusted at the occurrence of events affecting the number of outstanding shares in the Company, or unforeseen material events affecting the Group´s operations or otherwise affecting the performance targets and deemed relevant by the Board of Directors. Should the accounting principles change, or should the Company decide on restructuring costs, the Board of Directors may decide on changes to the Performance Share Plan 2023 performance targets.
Assuming maximum allotment under the Performance Share Plan 2023 and a share price of SEK 80.63, a maximum of 995,410 shares of series B (incorrectly stated as 955,410 in the notice) are required to fulfil the commitments under the program (including social security costs), corresponding to approximately 0.26 per cent of the total number of outstanding shares. The number of shares covered by existing and outstanding incentive programs amounts to 1,144,160 shares of series B, corresponding to approximately 0.30 per cent of the total number of outstanding shares. Assuming maximum allotment of shares under the Performance Share Plan 2023 and a share price of SEK 80.63, the costs, including social security costs and the financing cost for repurchased own shares, are estimated at approximately SEK 80,261,571.
Acquisition and transfer of own shares
The Meeting authorized the Board of Directors, in accordance with the Board of Directors’ proposal, during the period until the next Annual General Meeting to decide, on one or more occasions, on the acquisition of a total number of own shares of series B so that, after the purchase, the Company holds not more than ten percent of the total number of shares in the Company. Furthermore, the Meeting authorized the Board of Directors, in accordance with the Board of Directors’ proposal, during the period until the next Annual General Meeting to decide, on one or more occasions, on the transfer of own shares of series B in conjunction with the financing of company acquisitions and other types of strategic investments and acquisitions, and not exceeding the maximum number of treasury shares held by the Company at any given time.
In view of the Performance Share Plan 2023, the Meeting resolved, in accordance with the Board of Directors’ proposal, that not more than 1,405,000 shares of series B can be transferred with deviation from the shareholders’ preferential rights, and to authorize the Board of Directors, during the period until the next Annual General Meeting to decide, on one or more occasions, on the transfer of not more than 764,748 own shares of series B on Nasdaq Stockholm to cover certain expenditures, mainly social security contributions.
Amendment of the articles of association
The Meeting resolved, in accordance with the Board of Directors’ proposal, on a number of amendments to the articles of association. These mainly consisted of (i) a new item regarding the place of the general meetings, meaning that the general meetings may also be held in the City of Solna, (ii) an adjustment of an existing item, meaning that if the Board of Directors so resolves, the postal vote may be submitted by e-mail or otherwise by electronic means, and (iii) a new item on the presence of third parties at general meetings, meaning that the Board of Directors may resolve that any person who is not a shareholder in the Company shall, on such terms as the Board of Directors may determine, have the right to attend or otherwise follow the proceedings at the general meeting. In addition, the meeting on certain renumbering and editorial changes to the articles of association.
Contribution to a foundation

Nedan följer en sammanfattning av stämmans beslut.
Redovisningshandlingar och ansvarsfrihet
Styrelsen samt vd och koncernchefen beviljades ansvarsfrihet för räkenskapsåret 2022/23 efter att resultat- och balansräkningarna för moderbolaget och koncernen fastställts.
Utdelning och disposition av bolagets resultat
Stämman beslutade om en utdelning motsvarande 2,40 kronor per aktie och att resterande vinstmedel balanseras i ny räkning. Utdelningen fördelas på två utbetalningstillfällen om 1,20 kronor per utbetalning.
Avstämningsdag för den första utdelningen är måndagen den 28 augusti 2023. Avstämningsdag för den andra utdelningen är tisdagen den 27 februari 2024. Utdelningen beräknas utbetalas torsdagen den 31 augusti 2023 respektive fredagen den 1 mars 2024.
Styrelse
Stämman omvalde styrelseledamöterna Laurent Leksell, Caroline Leksell Cooke, Kelly Londy, Wolfgang Reim, Jan Secher, Birgitta Stymne Göransson och Cecilia Wikström samt nyvalde Tomas Eliasson och Volker Wetekam. Laurent Leksell omvaldes som styrelseordförande.
Stämman beslutade att styrelsearvodet ska höjas i förhållande till föregående år, i enlighet med valberedningens förslag.
Revisor
Ernst & Young AB, med huvudansvarig revisor Rickard Andersson, omvaldes till bolagets revisor intill slutet av nästa årsstämma och arvode till revisor ska utgå enligt godkänd räkning.
Styrelsens ersättningsrapport
Stämman godkände styrelsens ersättningsrapport över ersättningar.
Prestationsbaserat Aktieprogram 2023
Stämman beslutade att införa Prestationsbaserat Aktieprogram 2023 i enlighet med styrelsens förslag och om överlåtelse av egna aktier i anledning av Prestationsbaserat Aktieprogram 2023.
Programmet omfattar vd och koncernchef, ledande befattningshavare och utvalda nyckelpersoner, allt som allt cirka 25 anställda, med möjlighet till vederlagsfri tilldelning av aktier av serie B i Elekta efter utgången av en treårig prestationsperiod förutsatt fortsatt anställning inom koncernen till och med utgången av september 2026. Det maximala antalet aktier som kan komma att tilldelas är beroende av graden av uppfyllande av tre prestationsmål, Elektas totala aktieägaravkastning (”TSR”) jämfört med OMXS30 över en tre-årsperiod och två ESG-mål. För Prestationsbaserat Aktieprogram 2023, är miniminivån avseende TSR-målet att Elektas TSR är minst +0,1 procent över index för OMXS30. För att uppnå maximinivån krävs att Elektas TSR är lika med +15 procent eller högre än index för OMXS30. Avseende ESG-målen är miniminivåerna avseende prestation att Elekta installerar 502 linacs på underförsöjda marknader, samt minskar sina CO2-utsläpp från verksamheten med 0,1 procent under den treåriga prestationsperioden. Den maximala prestationsnivån kräver att Elekta installerar 652 linacs på underförsörjda marknader och minskar sina CO2-utsläpp från verksamheten med 13,86 procent under den treåriga prestationsperioden.
Prestationsmålen ska justeras vid händelser som påverkar antalet utestående aktier i bolaget, eller vid oförutsedda väsentliga händelser som påverkar koncernens verksamhet eller på annat sätt påverkat prestationsmålen och om styrelsen så finner det relevant. För det fall att redovisningsprinciper ändras eller om bolaget fattar beslut om att uppta omstruktureringskostnader kan styrelsen komma att fatta beslut om förändringar i prestationsmålen för Prestationsbaserat Aktieprogram 2023.
Under antagande att maximalt antal aktier tilldelas under för Prestationsbaserat Aktieprogram 2023 och en aktiekurs om 80,63 kronor, erfordras maximalt 995 410 aktier av serie B (i kallelsen stod felaktigt 955 410) för att fullgöra åtaganden under programmet (inklusive sociala avgifter), motsvarande cirka 0,26 procent av det totala antalet utestående aktier. Antalet aktier som omfattas av tidigare och utestående incitamentsprogram uppgår till 1 144 160 aktier av serie B, motsvarande cirka 0,30 procent av det totala antalet utgivna aktier. Under antagande att maximalt antal aktier tilldelas under för Prestationsbaserat Aktieprogram 2023 och en aktiekurs om 80,63 kronor, beräknas kostnaderna, inklusive kostnader för sociala avgifter och finansieringskostnaden för återköpta aktier, uppgå till cirka 80 261 571 kronor.
Förvärv respektive överlåtelse av egna aktier
Stämman bemyndigade styrelsen i enlighet med styrelsens förslag att under tiden fram till nästkommande årsstämma, vid ett eller flera tillfällen, fatta beslut om att förvärva högst så många egna aktier av serie B att bolaget efter förvärv innehar sammanlagt högst tio procent av totala antalet aktier i bolaget. Stämman bemyndigade också styrelsen, i enlighet med styrelsens förslag, att under tiden fram till nästkommande årsstämma, vid ett eller flera tillfällen, fatta beslut om att överlåta egna aktier av Serie B i samband med finansiering av företagsförvärv och andra strategiska investeringar och förvärv och med högst det antal egna aktier som bolaget vid var tid innehar.
Med anledning av Prestationsbaserat Aktieprogram 2023 beslutade stämman, i enlighet med styrelsens förslag, att högst 1 405 000 aktier av serie B får överlåtas med avvikelse från aktieägarnas företrädesrätt samt att bemyndiga styrelsen att under tiden fram till nästkommande årsstämma, vid ett eller flera tillfällen, fatta beslut om att på Nasdaq Stockholm överlåta högst 764 748 egna aktier av serie B i syfte att täcka vissa utgifter, i huvudsak sociala avgifter.
Ändring av bolagsordningen
Stämman beslutade, i enlighet med styrelsens förslag, om ett antal ändringar av bolagsordningen. Dessa bestod huvudsakligen i (i) en ny punkt om ort för bolagsstämma, innebärandes att bolagsstämmor även ska kunna hållas i Solna stad, (ii) en justering av en befintlig punkt, innebärandes att poströster vid en bolagsstämma ska, om styrelsen så beslutar, kunna avges per e-post eller annars med elektroniska medel, och (iii) en ny punkt om utomståendes närvaro vid bolagsstämma, innebärandes att styrelsen får besluta att den som inte är aktieägare i bolaget ska, på de villkor som styrelsen bestämmer, ha rätt att närvara eller på annat sätt följa förhandlingarna vid bolagsstämma. Därutöver beslutade stämman även om vissa omnumreringar och redaktionella ändringar av bolagsordningen.
Bidrag till stiftelse
Stämman beslutade, i enlighet med styrelsens förslag, om ett bidrag om maximalt 10 000 000 kronor till den stiftelse som inrättades genom årsstämmans beslut den 25 augusti 2021. Stiftelsen har som ändamål att förbättra tillgången till och kvaliteten på cancervård med särskilt fokus på strålbehandling.

Shareholders wishing to attend the General Meeting must:
Notice of attendance may be submitted in writing to the Company at the address Elekta AB (publ), ”Annual general meeting”, c/o Euroclear Sweden AB, Box 191, 101 23 Stockholm, Sweden or by phone to +46 8-402 92 80 business days between 9:00 a.m. CEST and 4:00 p.m. CEST, on the Company’s website, www.elekta.com or by e-mail to GeneralMeetingService@euroclear.com. On giving notice of attendance, the shareholder should state the shareholder’s name (company name), personal identity number (corporate identity number), address, telephone number and number of shares. The registration procedure described above also applies to registration for any advisors. A shareholder that exercises its voting rights through a postal voting form does not have to send in a separate notice of participation, see below under postal voting.
NOMINEE REGISTERED SHARES
Shareholders whose shares are registered in the names of nominees must temporarily re-register the shares in their own names in the register of shareholders kept by Euroclear Sweden AB in order to participate in the Meeting. Such re-registration, so called voting right registration, must be completed no later than on Friday, 18 August, 2023, which means that shareholders well in advance prior to this date must instruct the nominee to carry out such action.
POSTAL VOTING
The shareholders may exercise their voting rights at the General Meeting by postal voting. A special form shall be used for postal voting. The form is available on the Company’s website www.elekta.com. The voting form can also be obtained from the Company or by contacting Euroclear Sweden AB at the contact information above. For the items on the agenda where the board, the nomination committee or a shareholder have submitted proposals, it is possible to vote Yes or No, which is clearly stated in the postal voting form. A shareholder can also abstain from voting on any item.
The completed voting form must be received by the Company no later than on Friday, 18 August, 2023. The postal voting form is valid as a notification to the General Meeting. Shareholders can, through verification with BankID, cast their postal vote electronically via Euroclear Sweden AB's website https://anmalan.vpc.se/euroclearproxy?sprak=1. Such electronic votes must be submitted no later than Friday, 18 August, 2023.
The completed form, including any appendices, must be sent by e-mail to GeneralMeetingService@euroclear.com or alternatively by post in original to Elekta AB (publ), ”Annual General Meeting”, c/o Euroclear Sweden AB, Box 191, 101 23 Stockholm, Sweden. If the shareholder is a legal entity, a registration certificate or an equivalent authority document, shall be enclosed to the form. The same applies if the shareholder votes in advance by proxy.
The shareholder may not provide special instructions or conditions in the voting form. If so, the postal vote is invalid in its entirety. Further instructions and conditions are included in the postal voting form.
PROXY AND PROXY FORM
Anyone who does not attend the General Meeting in person may exercise their voting right at the General Meeting via a proxy in possession of a signed and dated form of proxy. The same applies if a shareholder exercises its voting rights by postal voting. Forms of proxy are available on the Company’s website www.elekta.com. The form of proxy may also be obtained from the Company or by contacting Euroclear Sweden AB at contact information above. If the proxy is issued by a legal entity, a copy of their registration certificate or equivalent authority document must be attached. The proxy must have been issued within the past year unless a longer period of validity is specified on the form of proxy, subject to a maximum of five years. To facilitate entry to the General Meeting, forms of proxy, registration certificates and other documentary authority must be received by the Company well in advance before the General Meeting.

PROPOSALS BY THE BOARD OF DIRECTORS AND THE NOMINATION COMMITTEE
Item 2 – Chair of the Meeting
The Nomination Committee proposes Victoria Skoglund, attorney at law, as the Chair of the Annual General Meeting.
Item 9 – Dispositions of the Company’s earnings and record day for dividend
The Board of Directors proposes that the Meeting resolves to approve that of the Company’s unappropriated earnings, SEK 2,237,000,641, an amount representing SEK 2.40 per share, should be distributed as dividend to the shareholders and that the remaining unappropriated earnings should be carried forward. It is proposed that the dividend is divided into two payments of SEK 1.20 per payment. The first record day is proposed to be on Monday, 28 August, 2023, and the second record day is proposed to be on Tuesday, 27 February, 2024. If the Annual General Meeting resolves in accordance with the proposal, payments through Euroclear Sweden AB are estimated to be made on Thursday, 31 August, 2023, and on Friday, 1 March, 2024.
Items 11–14 – Election of the Board of Directors and Auditor and remuneration to the Board of Directors and the Auditor
The Nomination Committee proposes that the Board of Directors shall consist of nine Directors, without deputy Directors.
The Nomination Committee proposes increased fees to the Board of Directors, and increased remuneration for committee work. Accordingly, the Nomination Committee proposes that fees, including remuneration for committee work, for the period until the next Annual General Meeting shall be paid to the Board of Directors with a total of SEK 8,200,000 (6,950,000), of which SEK 1,550,000 (1,500,000) to the Chair of the Board of Directors and SEK 670,000 (645,000) to each non-executive Director. Further, the Nomination Committee proposes that remuneration for committee work for the period until the next Annual General Meeting, shall be paid with SEK 145,000 (140,000) to the Chair of the Compensation & Sustainability Committee and SEK 100,000 (95,000) to any other member of the Compensation & Sustainability Committee, and SEK 290,000 (265,000) to the Chair of the Audit Committee and SEK 185,000 (170,000) to any other member of the Audit Committee. No remuneration or compensation for committee work shall be paid to a Director employed by the Company.
Remuneration to the Auditor is proposed to be paid according to an invoice approved by the Company.
The Nomination Committee proposes that Laurent Leksell, Caroline Leksell Cooke, Kelly Londy, Wolfgang Reim, Jan Secher, Birgitta Stymne Göransson and Cecilia Wikström are re-elected, and that Tomas Eliasson and Volker Wetekam are elected, as Directors for the period until the end of the next Annual General Meeting. Further, the Nomination Committee proposes that Laurent Leksell is re-elected as the Chair of the Board of Directors. Johan Malmquist has declined re-election.
A presentation of all the persons proposed by the Nomination Committee for election to the Board of Directors can be found on the Company’s website, www.elekta.com.
The Nomination Committee proposes, in accordance with the recommendation from the Audit Committee, that the registered public accounting firm Ernst & Young AB (“EY”) is re-elected as the Company’s Auditor for the period until the end of the Annual General Meeting 2024. EY has informed the Nomination Committee that if EY is elected, the Authorized Public Accountant Rickard Andersson will be appointed as auditor in charge.
Item 15 – Resolution regarding approval of the Remuneration Report
The Board of Directors proposes that the Meeting resolves to approve the Board's Remuneration Report on remuneration in accordance with Chapter 8, Section 53 a of the Swedish Companies Act.
Item 16 (a) – Resolution regarding Performance Share Plan 2023
Performance Share Plan 2023 (“PSP 2023”) includes the Board of Directors’ proposal for resolutions on implementation of a performance share plan, equivalent to the performance share plan resolved by the Meeting in 2022, and transfer of treasury shares.
Background
Long-term variable compensation is an integral part of Elekta’s remuneration strategy. Elekta has annually resolved on long-term incentive programs for executive committee and key employees within the Group.
The Board of Directors proposes that Elekta’s long-term variable compensation in 2023, like last year, shall include the executive committee and a few selected key employees in the same long-term performance share plan. The Board of Directors proposes that the Meeting resolves on PSP 2023 pursuant to the main principles set forth below. The Board of Directors considers that PSP 2023 fulfils the purpose of aligning the interests of the participants and the shareholders, strengthens Elekta’s ability to attract, retain and motivate qualified employees and strengthens Elekta’s focus and objective to meet its long-term business and share price goals.
Proposal for a resolution for a Performance Share Plan 2023
The Board of Directors proposes that the Meeting resolves on the implementation of the PSP 2023. In order to implement the PSP 2023, the Board of Directors proposes that no more than 1,405,000 shares of series B in Elekta may be used in the PSP 2023 to be transferred to employees in the Group and that up to 30 per cent of these shares may be sold on Nasdaq Stockholm in order to cover, inter alia, social contribution costs.
The Board of Directors proposes that the Meeting resolves in accordance with the proposals set out below.
Implementation of the Performance Share Plan 2023
The PSP 2023 shall be offered to individuals with great opportunities to impact the Company’s long-term performance both in current roles but also for future roles, i.e. the President and CEO, executive committee and nominated key persons, all in all about 25 employees.
The Board of Directors will determine a maximum value for the PSP 2023 participant group. The maximum value for all participants can be up to 80 per cent of annual base salary at the beginning of the fiscal year 2023/2024. The actual maximum value will be subject to each participant’s individual performance evaluation for the past fiscal year. The total sum of the maximum value for all participants in the PSP 2023 will not exceed SEK 61,739,670 excluding social contribution costs.
Each participant’s maximum value shall be converted into a number of shares of series B, based on the average closing share price of the Elekta series B share on Nasdaq Stockholm during a period of ten trading days before the day the participants are offered to participate in the program.
Participants in the PSP 2023 will be granted a conditional award over performance shares, which is a right to receive a specific number of such shares at a future date, provided the relevant conditions are met. The total number of shares of series B that can be received is dependent on the degree of fulfilment of three targets, Elekta’s Total Shareholder Return (“TSR”) relative to the OMXS30 Index over a three-year period and two ESG targets. The ESG targets are Access to Healthcare, i.e number of installed linacs in underserved markets, as well as CO2 equivalents reductions from operations over a three-year period. The weighting between the three targets is as follows; Relative TSR with a weighting of 85%, Access to Healthcare and CO2 equivalents reduction with a weighting of 7.5% each.
For the PSP 2023, the minimum performance requirement regarding the TSR target is that Elekta TSR outperform the OMXS30 Index with at least +0,1 per cent. The maximum performance level requires that Elekta TSR outperform the OMXS30 Index at or above +15 per cent. Regarding the ESG targets, the minimum performance requirement is that Elekta installs 502 linacs in underserved markets and reduces its’ CO2 emissions from operations by 0.1 per cent during the three-year performance period. The maximum performance level requires Elekta to install 652 linacs in underserved markets and reduces its’ CO2 emissions from operations by 13.86 per cent during the three-year performance period.
The total PSP vesting level can be in the range of 0 – 100 per cent and is determined by the weighted vesting level of each performance target. If the minimum performance level of each three targets is reached, the allocation will amount up to 25 per cent of maximum number of performance shares. If the maximum performance level is reached or exceeded for all three targets, the allocation will amount to (and will not exceed) the maximum number of performance shares. If performance is below the maximum level but above the minimum level of all three targets, the allocation will be proportional between the minimum level and the maximum level, subject to the weighting of each target. No allocation will be made if performance is below the minimum level for all three targets.
The performance targets shall be adjusted at the occurrence of events affecting the number of outstanding shares in the Company, or unforeseen material events affecting the Group´s operations or otherwise affecting the performance targets and deemed relevant by the Board of Directors. Should the accounting principles change, or should the Company decide on restructuring costs, the Board of Directors may decide on changes to the PSP 2023 performance targets.
The actual allotment at reached minimum level will be subject to each participant’s individual performance evaluation for the past fiscal year. The receipt of shares normally requires that the persons are employed in the Group at the end of the Performance Period in September 2026.
If all conditions included in the PSP 2023 are met, allotment of shares of series B shall be made free of charge three years after an agreement has been entered into and following approval by the Board of Directors. Before the number of shares to be received are finally determined, the Board of Directors shall examine whether the allotment is reasonable considering the Company’s financial results and position, conditions on the stock market and other circumstances, and if not, as determined by the Board of Directors, reduce the number of shares to be allotted to the lower number of shares deemed appropriate by the Board of Directors.
The participants shall not provide any consideration for their rights under the program.
The participants shall at allotment of shares of series B not receive any cash compensation for any cash dividend under the Performance Period September 2023 to September 2026.
The number of shares included in the proposal may be recalculated by the Board of Directors due to changes in the capital structure, such as a bonus issue, a consolidation or a split of shares, new issue or reduction of the share capital or similar measures.
The Board of Directors, or a committee established by the Board of Directors for this purpose, will be responsible for the detailed drafting and management of the PSP 2023, within the scope of the principal conditions and guidelines specified. The Board of Directors shall thereupon be entitled to make adjustments to meet specific rules or market conditions abroad. Hence, the Board of Directors can decide on the implementation of an alternative cash-based incentive solution for participants in countries where the allotment of Performance Shares is not appropriate, or if such solution is otherwise considered appropriate. The Board of Directors shall also be entitled to make other adjustments provided that there are substantial changes in the Group or its business environment which would signify that conditions for allocation in accordance with the PSP 2023 are no longer appropriate. Such alternative incentive solutions shall to the extent practically possible be designed to correspond to the terms of the PSP 2023.
Participation in the PSP 2023 assumes that such participation is legally possible and suitable, and that the administrative costs and financial efforts are reasonable in the opinion of the Board of Directors.
In order to reduce the economic risk due to an increase of the share price during the term of the performance shares and in order to secure the ability to deliver shares of series B, Elekta intends to acquire and transfer own shares.
Costs of Performance Share Plan 2023
Assuming maximum allotment under the PSP 2023 and a share price of SEK 80.63, a maximum of 955,410 shares of series B are required to fulfil the commitments under the program (including social security costs), corresponding to approximately 0.26 per cent of the total number of outstanding shares. The number of shares covered by existing and outstanding incentive programs amounts to 1,144,160 shares of series B, corresponding to approximately 0.30 per cent of the total number of outstanding shares.
Assuming maximum allotment of shares under the PSP 2023 and a share price of SEK 80.63, the costs, including social security costs and the financing cost for repurchased own shares, are estimated at approximately SEK 80,261,571.
Hedging actions
In order to secure delivery under the PSP 2023, the Board of Directors proposes under item 16 (b), that no more than 1,405,000 shares of series B may be transferred to employees in the Group. Further, the Board of Directors proposes under item 17 that the Board of Directors shall be authorized to decide upon the transfer of no more than 764,748 own shares of series B on Nasdaq Stockholm in order to cover, inter alia, social contribution costs under PSP 2023. Further, the Board of Directors proposes under item 18 (a) that the Board of Directors shall be authorized to decide upon acquisition of own shares of series B in order to, inter alia, facilitate hedging and delivery of shares under PSP 2023. If the proposal to transfer repurchased shares to program participants should not be approved by the Meeting, the Board of Directors will consider other means to meet the delivery undertakings under the PSP 2023.
Preparation of the proposal
The proposal has been prepared by the Company’s Executive Compensation & Sustainability Committee in consultation with the Board of Directors. The resolution to propose the PSP 2023 to the Meeting has been taken by the Board of Directors.
Outstanding incentive programs in Elekta
For a description of Elekta’s on-going share related incentive programs, reference is made to note 7 in Elekta’s annual report for 2022/2023.
Majority requirement
The resolution of the Meeting in accordance with the Board of Directors’ proposal pursuant to this item 16 (a) must be supported by shareholders representing more than half of the votes cast, or, in the event of a tied vote, through the Chair of the Meeting exercising his or her casting vote.
Item 16 (b) – Resolution regarding transfer of own shares in conjunction with the Performance Share Plan 2023
The Board of Directors proposes that the Meeting resolves on transfer of own shares of series B as a result of the PSP 2023 on the following terms.
(i) No more than 1,405,000 shares of series B may be transferred with deviation from the shareholders’ preferential rights.
(ii) Right to acquire shares shall be granted to such individuals within the Group covered by the terms and conditions for the PSP 2023. Further, subsidiaries within the Group shall have the right to acquire shares free of consideration and such subsidiaries shall be obligated to immediately transfer shares free of consideration to their employees covered by the terms of the PSP 2023.
(iii) The employee shall have the right to receive shares in accordance with the terms of the PSP 2023 and during the period when the employee is entitled to receive shares in accordance with the terms of the PSP 2023.
(iv) Employees covered by the terms of the PSP 2023 shall, subject to certain conditions, receive shares of series B free of consideration.
The reasons for deviation from the shareholders’ preferential rights and the basis for determination of the transfer price are as follows.
The transfer of own shares of series B forms part of the implementation of the proposed PSP 2023. The Board of Directors considers it to be an advantage for the Company and its shareholders that the employees are shareholders in the Company. The basis for determination of the transfer price follows from the Board of Directors’ proposal under item 16 (a) above.
The resolution of the Meeting in accordance with the Board of Directors’ proposal pursuant to this item 16 (b) is subject to the Meeting having resolved to pass the Board of Directors’ proposal on PSP 2023.
The resolution of the Meeting in accordance with the Board of Directors’ proposal pursuant to this item 16 (b) must be supported by shareholders representing at least nine-tenths of the votes cast and the shares represented at the Meeting.
Item 17 – Resolution regarding authorization for the Board of Directors to decide upon the transfer of own shares in conjunction with the Performance Share Plan 2021, 2022 and 2023
The Board of Directors proposes that the Meeting authorizes the Board of Directors during the period until the next Annual General Meeting to decide, on one or more occasions, on the transfer of not more than 764,748 own shares of series B on Nasdaq Stockholm, with reference to the Performance Share Plan 2021, 2022 and 2023, to cover certain expenditures, mainly social security contributions. Transfers may be executed at a price that is within the registered price interval (spread) at any given time, meaning the interval between the highest bid price and the lowest ask price at the time of the decision regarding the transfer and in accordance with the rules of Nasdaq Stockholm at any given time. The Board of Directors will be entitled to determine the other terms and conditions of the transfer which, however, shall be in accordance with the market practice.
The resolution of the Meeting in accordance with the Board’s proposal pursuant to this item 17 must be supported by shareholders representing at least two-thirds of the votes cast and the shares represented at the Meeting.
Item 18 (a) – Resolution regarding authorization for the Board of Directors to decide upon acquisition of own shares
The Board of Directors proposes that the Meeting authorizes the Board of Directors during the period until the next Annual General Meeting to decide, on one or more occasions, on the acquisition of a maximum number of own shares of series B so that, after the purchase, the Company holds not more than ten percent of the total number of shares in the Company. Such shares shall be purchased on Nasdaq Stockholm at a price that is within the registered price interval (spread) at any given time, meaning the interval between the highest bid price and the lowest ask price, and in other respects in accordance with the rules of Nasdaq Stockholm at any given time. The purpose of the repurchase of own shares is firstly to align the Company’s capital structure to the Company’s capital requirements and, where appropriate, to enable share transfers in conjunction with the financing of company acquisitions and other types of strategic investments and acquisitions. An additional objective is to facilitate hedging of costs and delivery in relation to the Performance Share Plan 2023.
The resolution of the Meeting in accordance with the Board of Directors’ proposal pursuant to this item 18 (a) must be supported by shareholders representing at least two-thirds of the votes cast and the shares represented at the Meeting.
Item 18 (b) – Resolution regarding authorization for the Board of Directors to decide upon the transfer of own shares
The Board of Directors proposes that the Meeting authorizes the Board of Directors during the period until the next Annual General Meeting to decide, on one or more occasions, on the transfer of shares of series B in the Company. The shares may only be transferred in conjunction with the financing of company acquisitions and other types of strategic investments and acquisitions, and the transfers may not exceed the maximum number of treasury shares held by the Company at any given time. Transfer of own shares of series B shall be made either on Nasdaq Stockholm or in another manner.
In conjunction with the acquisition of companies or operations, transfer of own shares of series B may be made with deviation from the shareholders’ preferential rights and at a price that is within the so-called spread (see above) at the time of the decision regarding the transfer and in accordance with the rules of Nasdaq Stockholm at any given time. The Board of Directors will be entitled to determine the other terms and conditions of the transfer which, however, shall be in accordance with the market practice. Payment for shares transferred in this manner may be made in cash or through a non-cash issue or offsetting of claims against the Company, or otherwise be subject to terms as set out in Chapter 2, Section 5, second paragraph, 1–3 and 5 of the Swedish Companies Act. The reason for the Board of Directors’ authorization to deviate from the shareholders’ preferential rights is, where appropriate, to be able to transfer shares in conjunction with the financing of any company acquisitions and other types of strategic investments and acquisitions in a cost-efficient manner.
The resolution of the Meeting in accordance with the Board of Directors’ proposal pursuant to this item 18 (b) must be supported by shareholders representing at least two-thirds of the votes cast and the shares represented at the Meeting.
Item 19 – Resolution regarding an amendment of the Articles of Association
The Board of Directors proposes that the Meeting resolves on an amendment of the Articles of Association, mainly in accordance with the following.
Proposal for a new item regarding the place of the General Meetings as follows:
The Board of Directors proposes that a new § 9 be added to the Articles of Association, concerning the place of General Meetings, as follows:
"§ 9
The General Meeting shall be held in the place where the registered office of the Board of Directors is located or in the city of Solna."
The current § 13 of the Articles of Association is proposed to be amended as follows to a new § 14:
Current wording: “The Board may collect powers of attorney in accordance with the procedure described in Chapter 7, section 4, second paragraph of the Swedish Companies Act (2005:551).
The Board of Directors may before a General Meeting resolve that the shareholders shall be entitled to vote by post prior to the General Meeting”.

The Board of Directors proposes that a new § 15 be added to the Articles of Association concerning the presence of third parties at General Meetings as follows:
"§ 15
The Board of Directors may resolve that any person who is not a shareholder in the Company shall, on such terms as the Board of Directors may determine, have the right to attend or otherwise follow the proceedings at the general meeting”.
Miscellaneous
In addition to the above proposal, the board of directors also proposes certain renumbering and editorial changes to the Articles of Association.
The Board of Directors, or its nominee, is entitled to resolve on any minor changes in the resolution that may be required when registering the resolution with the Swedish Companies Registration Office or due to other formal requirements.
The resolution of the Meeting in accordance with the Board of Directors’ proposal pursuant to this item 19 must be supported by shareholders representing at least two-thirds of the votes cast and the shares represented at the Meeting.
Item 20 – Resolution regarding contribution to foundation
On 25 August, 2021, the Annual General Meeting resolved on a contribution by the Company of up to SEK 35,000,000 as initial foundation capital for the purposes of establishing a philanthropic foundation of the Company, to be governed by the Swedish Foundation Act (1994:1220) (Sw. stiftelselagen). The object of the foundation is to improve access to, and quality of, cancer care with special focus on radiotherapy. The resolution of 25 August, 2021, states that if necessary for the foundation's continued operations, the board may propose that future General Meetings resolve on further contributions to the foundation.
In light of the above, the Board of Directors proposes that the General Meeting resolves on a contribution of up to SEK 10,000,000 to the foundation established by the Annual General Meeting's resolution on 25 August, 2021.
The Board of Directors is of the opinion that the proposed contribution is a gift for charitable or comparable purposes which may be deemed reasonable in light of the nature of the purpose, the Company’s financial position and the circumstances in general and that the contribution is justifiable in view of the requirements posed on the size of the Company’s and the Group’s equity by the nature, scope and risks associated with the Company’s and Group’s operations as well as the consolidation needs, liquidity and position of the Company and the Group in other respects. There will be sufficient coverage for the Company’s restricted equity following the contribution.
Item 21 – Resolution proposals by the shareholder Thorvald Tilman
The shareholder Thorvald Tilman proposes that the General Meeting resolves:
(a) that the second paragraph of Article 5 of the Articles of Association shall read as follows: “All shares carry equal rights.”,
(b) to instruct the Board of Directors to approach the Swedish government in writing to express the desirability of amending the Swedish Companies Act so that the possibility of issuing shares with different voting rights is abolished,
(c) to instruct the Board of Directors to prepare a proposal regarding representation on the Board of Directors and the Nomination Committee for the small and medium sized shareholders, and
(d) to instruct the Board of Directors to investigate the possibilities of introducing a performance-based remuneration for the members of the Board of Directors.
The resolution of the Meeting in accordance with Thorwald Tilman’s proposal pursuant to item 21 (a) must be supported by all of the shareholders participating in the General Meeting where such shareholders together represent not less than nine-tenths of all shares in the Company, or alternatively by shareholders with not less than two-thirds of both the votes cast and the shares represented at the General Meeting and provided that the owners of one-half of all shares of series A and nine-tenths of the shares of series A represented at the Meeting consent to the alteration.

Poströstningsformuläret kan också erhållas hos bolaget eller genom kontakt med Euroclear Sweden AB på kontaktuppgifter enligt ovan. För de beslutspunkter på dagordningen där styrelsen, valberedningen eller en aktieägare har lämnat förslag finns möjlighet att rösta Ja eller Nej, vilket tydligt framgår i poströstningsformuläret. Det går också att avstå från att rösta i enskild beslutspunkt.
Poströsten ska vara bolaget tillhanda senast fredagen den 18 augusti 2023. Anmälan till stämman behöver inte ske särskilt då poströstningsformuläret också gäller som anmälan. STYRELSENS OCH VALBEREDNINGENS FÖRSLAG TILL BESLUT
Punkt 2 – Stämmoordförande
Valberedningen föreslår advokat Victoria Skoglund som ordförande vid stämman.
Punkt 9 – Disposition av bolagets resultat samt avstämningsdag
Styrelsen föreslår att stämman beslutar att bolagets resultat enligt den fastställda resultaträkningen ska disponeras på så sätt att av bolagets disponibla vinstmedel, 2 237 000 641 kronor, utdelning till aktieägarna sker med ett belopp motsvarande 2,40 kronor per aktie, samt att återstoden balanseras i ny räkning. Det föreslås att utdelningen fördelas på två utbetalningstillfällen om 1,20 kronor per utbetalning. Den första avstämningsdagen föreslås vara måndagen den 28 augusti 2023 och den andra avstämningsdagen föreslås vara tisdagen den 27 februari 2024. Beslutar stämman i enlighet med förslaget beräknas utdelning sändas ut genom Euroclear Sweden AB:s försorg torsdagen den 31 augusti 2023 respektive fredagen den 1 mars 2024.
Punkterna 11–14 – Val av styrelse och revisor samt arvoden till styrelsen och revisor
Valberedningen föreslår att styrelsen ska bestå av nio styrelseledamöter, utan suppleanter.
Valberedningen föreslår ett höjt styrelsearvode samt höjd ersättning för utskottsarbetet. Valberedningen föreslår således att styrelsearvode inklusive ersättning för utskottsarbete avseende tiden fram till nästa årsstämma ska utgå med totalt 8 200 000 (6 950 000) kronor, varav till styrelseordföranden föreslås utgå ersättning med 1 550 000 (1 500 000) kronor och till ordinarie stämmovald ledamot som inte är anställd i bolaget föreslås utgå ersättning med 670 000 (645 000) kronor. Valberedningen föreslår vidare att ersättning för utskottsarbete avseende tiden fram till nästa årsstämma ska utgå med 145 000 (140 000) kronor till ordförande i ersättnings- och hållbarhetsutskottet samt med 100 000 (95 000) kronor till ledamot i ersättnings- och hållbarhetsutskottet och med 290 000 (265 000) kronor till ordförande i revisionsutskottet samt med 185 000 (170 000) kronor till ledamot i revisionsutskottet. Arvode eller ersättning för utskottsarbete ska inte utgå till styrelseledamot som är anställd i bolaget.
Till revisor föreslås utgå arvode enligt av bolaget godkänd räkning.
Valberedningen föreslår omval av Laurent Leksell, Caroline Leksell Cooke, Kelly Londy, Wolfgang Reim, Jan Secher, Birgitta Stymne Göransson och Cecilia Wikström, samt nyval av Tomas Eliasson och Volker Wetekam, som styrelseledamöter för tiden intill slutet av nästa årsstämma. Valberedningen föreslår vidare att Laurent Leksell omväljs till styrelseordförande. Johan Malmquist har avböjt omval.

Valberedningen föreslår, i enlighet med revisionsutskottets rekommendation, omval av det registrerade revisionsbolaget Ernst & Young AB (”EY”) till bolagets revisor för tiden intill slutet av årsstämman 2024. EY har upplyst valberedningen att om EY väljs ska den auktoriserade revisorn Rickard Andersson vara huvudansvarig revisor.
Punkt 15 – Beslut om godkännande av ersättningsrapport
Styrelsen föreslår att stämman beslutar om godkännande av styrelsens ersättningsrapport över ersättningar enligt 8 kap. 53 a § aktiebolagslagen.
Punkt 16 (a) – Beslut om Prestationsbaserat Aktieprogram 2023
Prestationsbaserat Aktieprogram 2023 (”PSP 2023”) inkluderar styrelsens förslag om beslut att implementera ett prestationsbaserat aktieprogram likvärdigt med det prestationsbaserade aktieprogram som stämman beslutade om 2022 samt överlåtelse av egna aktier.
Bakgrund
Långsiktig rörlig ersättning är en integrerad del av Elektas ersättningsstrategi och Elekta har årligen beslutat om långsiktiga incitamentsprogram till ledande befattningshavare och nyckelpersoner inom koncernen.
Styrelsen föreslår att Elektas långsiktiga rörliga ersättning 2023, liksom föregående år, ska inkludera ledande befattningshavare och några få utvalda nyckelpersoner i ett gemensamt prestationsbaserat långsiktigt aktieprogram. Styrelsen föreslår att stämman beslutar om PSP 2023 i enlighet med de huvudprinciper som framgår nedan. Styrelsen anser att PSP 2023 uppfyller sitt syfte att sammanlänka deltagarnas och aktieägarnas intressen, stärka Elektas möjligheter att attrahera, behålla och motivera kompetent personal samt stärka Elektas fokus och inriktning för att uppfylla de långsiktiga affärsmålen och mål avseende aktievärdet.
Förslag till beslut om Prestationsbaserat Aktieprogram 2023
Styrelsen föreslår att stämman beslutar om implementering av PSP 2023. För att kunna implementera PSP 2023 föreslår styrelsen att maximalt 1 405 000 aktier av serie B i Elekta får användas i PSP 2023 för överlåtelse till anställda inom koncernen och att maximalt 30 procent av dessa aktier får överlåtas på Nasdaq Stockholm för täckande av bland annat sociala avgifter.
Styrelsen föreslår att stämman beslutar i enlighet med förslagen nedan.
Implementering av Prestationsbaserat Aktieprogram 2023
PSP 2023 ska erbjudas individer som har stora möjligheter att påverka bolagets långsiktiga utveckling både via nuvarande roller men även för framtida roller, dvs. den verkställande direktören och koncernchefen, ledande befattningshavare och utvalda nyckelpersoner, allt som allt cirka 25 anställda.
Styrelsen kommer att fastställa ett maximalt värde för PSP 2023 på deltagarnivå. Maximalt värde kan komma att vara upp till 80 procent av den årliga baslönen för alla deltagare vid ingången av räkenskapsåret 2023/2024. Det faktiska maximala värdet kommer att vara beroende av varje medarbetares individuella prestationsutvärdering för det senaste verksamhetsåret. Det sammanlagda totala värdet för samtliga deltagare i PSP 2023 uppgår till maximalt 61 739 670 kronor, exklusive sociala avgifter.
Respektive deltagares maximala värde ska konverteras till ett antal aktier av serie B baserat på den genomsnittliga sista betalkursen för aktier av serie B i Elekta på Nasdaq Stockholm under en period av tio handelsdagar före den dag erbjudande om deltagande i programmet lämnas.
Deltagare i PSP 2023 kommer att erhålla en villkorad rätt att tilldelas prestationsaktier, vilket är en rätt att vid en framtida tidpunkt erhålla ett visst antal sådana aktier under förutsättning att tillämpliga villkor är uppfyllda. Det maximala antalet aktier av serie B som kan erhållas är beroende av graden av uppfyllande av tre prestationsmål, Elektas totala aktieägaravkastning (”TSR”) jämfört med OMXS30 över en tre-årsperiod och två ESG-mål. ESG-målen är tillgång till hälso- och sjukvård, dvs. antal installerade linacs på underförsörjda marknader, samt minskning av CO2-ekvivalenter från verksamheten under en treårsperiod. Viktningen mellan de tre målen är som följande: relativ TSR med en viktning på 85 procent och tillgång till hälso- och sjukvård samt reduktion av CO2-ekvivalenter med en viktning på 7,5 procent vardera.
För PSP 2023, är miniminivån avseende TSR-målet att Elektas TSR är minst +0,1 procent över index för OMXS30. För att uppnå maximinivån krävs att Elektas TSR är lika med +15 procent eller högre än index för OMXS30. Avseende ESG-målen är miniminivåerna avseende prestation att Elekta installerar 502 linacs på underförsöjda marknader, samt minskar sina CO2-utsläpp från verksamheten med 0,1 procent under den treåriga prestationsperioden. Den maximala prestationsnivån kräver att Elekta installerar 652 linacs på underförsörjda marknader och minskar sina CO2-utsläpp från verksamheten med 13,86 procent under den treåriga prestationsperioden.
Den totala PSP-intjänandeperioden kan ligga i intervallet 0-100 procent och bestäms av den viktade intjänandenivån för varje prestationsmål. Om minimiprestationsnivån för vart och ett av målen uppnås kommer tilldelningen att uppgå till 25 procent av det maximala antalet prestationsaktier. Om maximinivån uppnås eller överträffas för alla tre målen, kommer tilldelningen att bli, och ej överskrida, maximalt antal prestationsaktier. Om utfallet är lägre än maximinivån men högre än miniminivån för alla tre målen är tilldelningen linjär mellan minimi- och maximinivån, beroende på viktningen av varje mål. Ingen tilldelning sker om utfallet är lägre än miniminivån för samtliga tre mål.
Prestationsmålen ska justeras vid händelser som påverkar antalet utestående aktier i bolaget, eller vid oförutsedda väsentliga händelser som påverkar koncernens verksamhet eller på annat sätt påverkat prestationsmålen och om styrelsen så finner det relevant. För det fall att redovisningsprinciper ändras eller om bolaget fattar beslut om att uppta omstruktureringskostnader kan styrelsen komma att fatta beslut om förändringar i prestationsmålen för PSP 2023.
Den verkliga tilldelningen vid uppnådd miniminivå bestäms av varje medarbetares individuella prestationsutvärdering för det senaste verksamhetsåret. Erhållande av aktier är normalt avhängigt fortsatt anställning inom koncernen till och med utgången av prestationsperioden i september 2026.
Uppfylls samtliga i PSP 2023 uppställda villkor ska tilldelning av aktier av serie B ske vederlagsfritt tre år efter att avtal ingåtts och efter det att styrelsen godkänt utfallet. Innan antalet aktier som ska tilldelas slutligen bestäms, ska styrelsen pröva om tilldelningen är rimlig i förhållande till bolagets finansiella resultat och ställning, förhållanden på aktiemarknaden och andra omständigheter, samt om styrelsen bedömer att så inte är fallet, reducera antalet aktier som ska tilldelas till det lägre antal aktier som styrelsen bedömer lämpligt.
Deltagarna ska inte erlägga någon betalning för sina rättigheter under programmet.
Deltagarna ska vid tilldelning av aktier av serie B inte erhålla någon kontant kompensation för kontant utdelning under prestationsperioden september 2023 till september 2026.
Antal aktier som omfattas av förslaget kan av styrelsen komma att omräknas på grund av förändringar i kapitalstruktur såsom fondemission, sammanläggning eller uppdelning av aktier, nyemission eller nedsättning av aktiekapitalet eller liknande åtgärder.
Styrelsen, eller av styrelsen för ändamålet inrättat utskott, ska ansvara för den närmare utformningen och hanteringen av PSP 2023, inom ramen för angivna huvudsakliga villkor och riktlinjer. I samband därmed ska styrelsen äga rätt att göra anpassningar för att uppfylla regler eller marknadsförutsättningar utomlands. Detta kan innebära att styrelsen har rätt att införa en alternativ kontantbaserad incitamentslösning för deltagare i sådana länder där tilldelning av prestationsaktier inte är tillämpligt, eller i övrigt en sådan lösning bedöms vara lämplig. Styrelsen ska även äga rätt att vidta andra justeringar under förutsättning att det sker betydande förändringar i koncernen eller dess omvärld som skulle medföra att beslutade villkor för tilldelning enligt PSP 2023 inte längre är lämpliga. Sådana alternativa incitamentslösningar ska, så långt praktiskt möjligt, utformas med motsvarande villkor som PSP 2023.
Deltagande i PSP 2023 förutsätter dels att detta lagligen och lämpligen kan ske, dels att det enligt styrelsens bedömning kan komma att ske med rimliga administrativa kostnader och ekonomiska insatser.
För att minska den ekonomiska risken vid en ökning av aktiekursen under löptiden för prestationsaktierna samt för att säkerställa möjligheten att överlåta aktier av serie B avser Elekta att förvärva och överlåta egna aktier.
Kostnader för Prestationsbaserat Aktieprogram 2023
Under antagande att maximalt antal aktier tilldelas under PSP 2023 och en aktiekurs om 80,63 kronor, erfordras maximalt 955 410 aktier av serie B för att fullgöra åtaganden under programmet (inklusive sociala avgifter), motsvarande cirka 0,26 procent av det totala antalet utestående aktier. Antalet aktier som omfattas av tidigare och utestående incitamentsprogram uppgår till 1 144 160 aktier av serie B, motsvarande cirka 0,30 procent av det totala antalet utgivna aktier.
Under antagande att maximalt antal aktier tilldelas under PSP 2023 och en aktiekurs om 80,63 kronor, beräknas kostnaderna, inklusive kostnader för sociala avgifter och finansieringskostnaden för återköpta aktier, uppgå till cirka 80 261 571 kronor.
Säkringsåtgärder
För att säkerställa leverans till PSP 2023 föreslår styrelsen under punkten 16 (b) att högst 1 405 000 aktier av serie B ska kunna överlåtas till anställda inom koncernen. Därutöver föreslår styrelsen under punkt 17 att styrelsen ska bemyndigas att besluta om överlåtelse av högst 764 748 egna aktier av serie B på Nasdaq Stockholm för täckande av bland annat sociala avgifter under PSP 2023. Vidare föreslår styrelsen under punkt 18 (a) att styrelsen ska bemyndigas att besluta om förvärv av egna aktier av serie B bland annat i syfte att möjliggöra säkring och leverans av aktier under PSP 2023. Skulle förslaget att överlåta återköpta aktier till deltagare i PSP 2023 inte godkännas av stämman kommer styrelsen att undersöka andra möjligheter för att säkerställa leveransåtagandena med anledning av PSP 2023.
Förslagets beredning
Förslaget har beretts av bolagets ersättnings- och hållbarhetsutskott i samråd med styrelsen. Beslutet att förelägga PSP 2023 till stämman har fattats av styrelsen.

Stämmans beslut enligt styrelsens förslag under punkt 16 (a) är giltigt endast om det biträds av aktieägare med mer än hälften av de avgivna rösterna eller, vid lika röstetal, den mening som ordföranden biträder.
Punkt 16 (b) – Beslut om överlåtelse av egna aktier i anledning av Prestationsbaserat Aktieprogram 2023
Styrelsen föreslår att stämman beslutar om överlåtelse av bolagets egna aktier av serie B i anledning av PSP 2023 i enlighet med följande villkor.
(i) Högst 1 405 000 aktier av serie B får överlåtas med avvikelse från aktieägarnas företrädesrätt.
(ii) Rätt att förvärva aktier ska tillkomma sådana personer inom koncernen som omfattas av villkoren för PSP 2023. Vidare ska dotterbolag inom koncernen äga rätt att vederlagsfritt förvärva aktier, varvid sådana dotterbolag ska vara skyldiga att omgående vederlagsfritt överlåta aktier till sina anställda som omfattas av PSP 2023.
(iii) Rätt att erhålla aktier ska tillkomma den anställde enligt de villkor som uppställs av PSP 2023 och under den tid som den anställde har rätt att erhålla aktier enligt villkoren för PSP 2023.
(iv) Anställd som omfattas av villkoren för PSP 2023 ska, under vissa förutsättningar, erhålla aktier av serie B vederlagsfritt.
Skälen för avvikelsen från aktieägarnas företrädesrätt och grunden för överlåtelseprisets beräknande är följande.
Överlåtelsen av egna aktier av serie B utgör en del av genomförandet av det föreslagna PSP 2023. Styrelsen anser det vara till fördel för bolaget och dess aktieägare att anställda är aktieägare i bolaget. Grunden för beräkningen av överlåtelsepriset framgår av styrelsens förslag under punkt 16 (a) ovan.
Stämmans beslut enligt styrelsens förslag under punkt 16 (b) är villkorat av att stämman beslutat att anta styrelsens förslag om PSP 2023.
Stämmans beslut enligt styrelsens förslag under punkt 16 (b) är giltigt endast om det biträds av aktieägare med minst nio tiondelar av såväl de avgivna rösterna som de vid stämman företrädda aktierna.
Punkt 17 – Beslut om bemyndigande för styrelsen att fatta beslut om överlåtelse av egna aktier i anledning av Prestationsbaserat Aktieprogram 2021, 2022 och 2023
Styrelsen föreslår att stämman bemyndigar styrelsen att i anledning av Prestationsbaserat Aktieprogram 2021, 2022 och 2023 under tiden fram till nästkommande årsstämma, vid ett eller flera tillfällen, fatta beslut om att på Nasdaq Stockholm överlåta högst 764 748 egna aktier av serie B i syfte att täcka vissa utgifter (i huvudsak sociala avgifter). Överlåtelse får ske till ett pris inom det vid var tid registrerade kursintervallet (den så kallade spreaden), det vill säga intervallet mellan högsta köpkurs och lägsta säljkurs vid tidpunkten för beslutet om överlåtelsen samt i förekommande fall med iakttagande av de regler som följer av Nasdaq Stockholms regler. Styrelsen ska äga rätt att bestämma övriga villkor för överlåtelsen, som dock ska vara marknadsmässiga.
Stämmans beslut enligt styrelsens förslag under punkt 17 är giltigt endast om det biträds av aktieägare med minst två tredjedelar av såväl de avgivna rösterna som de vid stämman företrädda aktierna.
Punkt 18 (a) – Beslut om bemyndigande för styrelsen att fatta beslut om förvärv av egna aktier
Styrelsen föreslår att stämman bemyndigar styrelsen att, under tiden fram till nästkommande årsstämma, vid ett eller flera tillfällen, fatta beslut om att förvärva högst så många egna aktier av serie B att bolaget efter förvärv innehar sammanlagt högst tio procent av totala antalet aktier i bolaget. Återköp ska ske på Nasdaq Stockholm till ett pris inom det vid var tid registrerade kursintervallet (den så kallade spreaden), det vill säga intervallet mellan högsta köpkurs och lägsta säljkurs samt i övrigt med iakttagande av de regler som följer av Nasdaq Stockholms regler. Syftet med återköpet av egna aktier är i första hand att anpassa bolagets kapitalstruktur till bolagets kapitalbehov samt att i förekommande fall kunna överlåta aktier i samband med finansiering av företagsförvärv samt andra typer av strategiska investeringar och förvärv. Syftet är därtill att möjliggöra säkring av kostnader och leverans sammanhängande med genomförandet av Prestationsbaserat Aktieprogram 2023.
Stämmans beslut enligt styrelsens förslag under punkt 18 (a) är giltigt endast om det biträds av aktieägare med minst två tredjedelar av såväl de avgivna rösterna som de vid stämman företrädda aktierna.
Punkt 18 (b) – Beslut om bemyndigande för styrelsen att fatta beslut om överlåtelse av egna aktier
Styrelsen föreslår att stämman bemyndigar styrelsen att under tiden fram till nästkommande årsstämma, vid ett eller flera tillfällen, fatta beslut om att överlåta aktier av serie B i bolaget. Överlåtelse av egna aktier får endast ske i samband med finansiering av företagsförvärv samt andra typer av strategiska investeringar och förvärv och med högst det antal egna aktier som bolaget vid var tid innehar. Överlåtelse av egna aktier av serie B får ske på eller utanför Nasdaq Stockholm.
I samband med förvärv av företag eller rörelser får överlåtelse av egna aktier av serie B ske med avvikelse från aktieägarnas företrädesrätt och till ett pris inom den så kallade spreaden (jämför ovan) vid tidpunkten för beslutet om överlåtelsen samt i förekommande fall med iakttagande av de regler som följer av Nasdaq Stockholms regler. Styrelsen ska äga rätt att bestämma övriga villkor för överlåtelsen, som dock ska vara marknadsmässiga. Ersättning för sålunda överlåtna aktier kan erläggas kontant eller genom apport eller kvittning av fordran mot bolaget, eller annars med villkor som avses i 2 kap. 5 § andra stycket 1–3 och 5 aktiebolagslagen. Skälen till styrelsens bemyndigande att avvika från aktieägarnas företrädesrätt är att i förekommande fall kunna finansiera eventuella företagsförvärv samt andra typer av strategiska investeringar och förvärv på ett kostnadseffektivt sätt.
Stämmans beslut enligt styrelsens förslag under punkt 18 (b) är giltigt endast om det biträds av aktieägare med minst två tredjedelar av såväl de avgivna rösterna som de vid stämman företrädda aktierna.
Punkt 19 – Beslut om ändring av bolagsordningen
Styrelsen föreslår att stämman beslutar om ändring av bolagsordningen enligt i huvudsak följande.
Förslag om ny punkt om ort för bolagsstämma enligt följande
Styrelsen föreslår att det i bolagsordningen läggs till en ny § 9 om ort för bolagsstämma enligt följande:

Bolagsstämma ska hållas på den ort där styrelsen har sitt säte eller i Solna stad”.
Bolagsordningens nuvarande § 13 föreslås ändras enligt följande till en ny § 14:
Befintlig lydelse: ”Styrelsen får samla in fullmakter enligt det förfarande som anges i 7 kap. 4 § andra stycket aktiebolagslagen (2005:551).
Styrelsen får inför en bolagsstämma besluta att aktieägarna skall kunna rösta per post före bolagsstämman”.
Föreslagen ny lydelse: ”Styrelsen får samla in fullmakter enligt det förfarande som anges i 7 kap. 4 § andra stycket aktiebolagslagen (2005:551).
Styrelsen får inför en bolagsstämma besluta att aktieägarna ska kunna rösta per post före bolagsstämman. Poströsten ska om styrelsen så beslutar kunna avges per e-post eller annars med elektroniska medel”.
Förslag om ny punkt om utomståendes närvaro vid bolagsstämma enligt följande:
Styrelsen föreslår att det i bolagsordningen läggs till en ny § 15 om utomståendes närvaro vid bolagsstämma enligt följande:

Styrelsen får besluta att den som inte är aktieägare i bolaget ska, på de villkor som styrelsen bestämmer, ha rätt att närvara eller på annat sätt följa förhandlingarna vid bolagsstämma.”
Övrigt
Utöver ovanstående förslag föreslår styrelsen även vissa omnumreringar och redaktionella ändringar av bolagsordningen.
Styrelsen, eller den styrelsen utser, ska ha rätt att besluta om de mindre ändringar i beslutet som kan erfordras i samband med registrering av beslutet vid Bolagsverket eller på grund av andra formella krav.
Stämmans beslut enligt styrelsens förslag under punkt 19 är giltigt endast om det biträds av aktieägare med minst två tredjedelar av såväl de avgivna rösterna som de vid stämman företrädda aktierna.
Punkt 20 – Beslut om bidrag till stiftelse
Årsstämman den 25 augusti 2021 beslutade att bolaget skulle lämna ett bidrag om maximalt 35 000 000 kronor i syfte att etablera en stiftelse för bolaget i enlighet med stiftelselagen (1994:1220). Stiftelsen har som ändamål att förbättra tillgången till och kvaliteten på cancervård med särskilt fokus på strålbehandling. Av beslutet från den 25 augusti 2021 framgår det att om det behövs för stiftelsens fortsatta verksamhet kan styrelsen föreslå att framtida bolagsstämmor beslutar om ytterligare bidrag till stiftelsen.
Mot bakgrund av ovanstående föreslår styrelsen att stämman beslutar om en ett bidrag om maximalt 10 000 000 kronor till den stiftelse som inrättades genom årsstämmans beslut den 25 augusti 2021.
Styrelsen anser att det föreslagna bidraget är en gåva för välgörande eller jämförbara ändamål som kan anses som rimlig med hänsyn till ändamålet, bolagets ekonomiska ställning och omständigheterna i övrigt samt att bidraget är motiverat med hänsyn till de krav som ställs på storleken på bolagets och koncernens egna kapital beroende på beskaffenhet, omfattning och risker förknippade med bolagets och koncernens verksamhet samt konsolideringsbehov, likviditet och ställning för bolaget och koncernen i övrigt. Det kommer att finnas tillräcklig täckning för bolagets bundna egna kapital efter bidraget.
Punkt 21 (a)–(d) – Förslag till beslut från aktieägaren Thorvald Tilman
Aktieägaren Thorvald Tilmans föreslår att stämman beslutar att:
(a) § 5 andra stycket i bolagsordningen ska ha följande lydelse: ”Samtliga aktier äger samma rätt.”,
(b) uppdra åt styrelsen att i skrivelse till regeringen påtala önskvärdheten av att den svenska aktiebolagslagen ändras så att möjligheten till så kallad rösträttsdifferentiering mellan olika aktieslag avskaffas,
(c) uppdra åt styrelsen utarbeta ett förslag till representation för de små och medelstora aktieägarna i såväl styrelse som valberedning, och
(d) uppdra åt styrelsen att utreda möjligheterna att införa ett system med prestationsbaserade styrelsearvoden.
Stämmans beslut enligt Thorvald Tilman förslag under punkt 21 (a) är giltigt endast om samtliga aktieägare som deltar i stämman röstar för förslaget och dessa tillsammans företräder minst nio tiondelar av samtliga aktier i bolaget, alternativt om aktieägare med minst två tredjedelar av såväl de avgivna rösterna som de vid stämman företrädda aktierna röstar för förslaget samtidigt som ägare till hälften av alla aktier av serie A och nio tiondelar av de vid stämman företrädda aktierna av serie A samtycker till ändringen.

STOCKHOLM – The Nomination Committee of Elekta (EKTA-B.ST) proposes that the 2023 Annual General Meeting re-elect Laurent Leksell, Caroline Leksell Cooke, Kelly Londy, Wolfgang Reim, Jan Secher, Birgitta Stymne Göransson and Cecilia Wikström, and elect Tomas Eliasson and Volker Wetekam, as Directors for the period until the end of the next Annual General Meeting. Further, the Nomination Committee proposes that Laurent Leksell is re-elected as the Chair of the Board of Directors. Johan Malmquist has declined re-election.
Tomas Eliasson has extensive experience as CFO from companies such as Assa Abloy, Electrolux and Sandvik, where he left in 2021. He currently serves on the Board of Directors of Boliden, Telia Company and Millicom. At these companies, he is a member of the audit committees as well as the committee’s chairman in the two latter companies. Tomas holds an MSc degree in Business and Economics from Uppsala University. He was born in 1962 and is a Swedish citizen.
Volker Wetekam is currently leading the Automated Driving unit at Bosch and was prior to that the company’s Chief Strategy Officer. He has extensive knowledge about digitalization and automatization. Volker has more than 25 years’ experience in the Medical Technology and Life Science industry and has held executive positions at Siemens Healthineers, GE Healthcare, and Agfa Healthcare. He holds a PhD degree in Quantitative Economics & Software Engineering from the University of Leipzig, as well as a MSc degree in Computer Science. Volker is a German citizen, lives in Munich, and was born in 1970. Currently, he has no external board assignments.

CRAWLEY, UK – Elekta (EKTA-B.ST) CEO, Gustaf Salford, was joined by several executive managers and key leaders to provide an update on Elekta’s market development and progress on the company’s strategy, ACCESS 2025. The presentation was delivered during a Capital Markets Day at Elekta’s office in Crawley, UK on June 20.
Gustaf Salford noted how the increasing cancer burden, combined with a shortage of trained clinicians, has increased the need for and value of Elekta’s solutions. “We now look forward to entering the second half of ACCESS 2025 with good momentum to focus on value creation. Dr. Alison Tree, the Clinical Steering Committee Chair of the international MR-Linac Consortium, as well as a clinical oncologist investigating the benefits of profoundly hypofractionated radiotherapy at The Royal Marsden NHS Foundation Trust, also spoke about the great progress that has been made using Unity and the outcomes to date.

CRAWLEY, UK – Elekta (EKTA-B.ST) VD, Gustaf Salford, gav tillsammans med flera ledande chefer och ledare en uppdatering kring Elektas marknadsutveckling och framsteg kopplade till bolagets strategi ACCESS 2025. Presentationen hölls under Kapitalmarknadsdagen i Elektas kontor i Crawley, UK, den 20:e juni.
Gustaf Salford pekade på hur den ökande cancerbördan, i kombination med ett underskott av utbildade kliniker, har ökad efterfrågan på Elektas produkter. ”Nu ser vi fram emot andra halvlek av ACCESS 2025 där vi ska fokusera på att skapa värde. Värde för våra kunder, värde för de patienter som de behandlar och värde för våra aktieägare.

Credit facility strengthens company’s sustainability agenda, following up on sustainability-linked bond framework
STOCKHOLM – Elekta (EKTA-B.ST) announces that it has successfully closed its inaugural sustainability-linked revolving credit facility (the “facility”) for EUR 250 million. The facility is based on both social and environmental key performance indicators (KPIs) and follows on Elekta’s sustainability-linked bond, issued in 2021, which was oversubscribed.

Hilma Nordquist, Elekta’s Group Sustainability Director, says: “Sustainability is an integral part of our ACCESS 2025 strategy, and we are pleased to closely link it to our financing. The deal underlines the confidence in Elekta’s financial and sustainability performance and our commitment to sustainable business practices and willingness to drive positive impact.”
This sustainability-linked refinancing reflects Elekta’s commitment to reduce greenhouse gas emissions, which was recently validated by the Science Based Targets initiative (SBTi).
The facility has an initial tenor of five years and includes two one-year extension options. The Bank of America Europe DAC acted as sole Coordinator, Sustainability Coordinator and Documentation Agent, while Danske Bank A/S will act as the Facility Agent.

STOCKHOLM – Elekta (EKTA-B.ST) meddelar ett lyckat avslut på förhandlingarna om en första hållbarhetskopplad revolverande kreditfacilitet på 250 miljoner euro. Faciliteten bygger på både sociala och miljörelaterade KPI:er och är en uppföljning av Elektas hållbarhetskopplade obligation, som övertecknades när den utfärdades 2021.

Strong revenue growth and record cash flow
During the fourth quarter, the improved supply chain situation resulted in strong revenue growth, lower working capital and record level cash flow. The Cost-reduction Initiative supported EBIT margin improvement. Going forward we expect continued revenue growth and improved margins.

Under fjärde kvartalet resulterade den förbättrade situationen inom leverantörskedjorna i en stark omsättningstillväxt, lägre rörelsekapital och rekordstort kassaflöde.
