Episurf Medical enters into letter of intent regarding acquisition of property in Greater Stockholm of approximately SEK 95 million
Episurf Medical AB (publ) ("Episurf" or the "Company") has today entered into a letter of intent regarding the acquisition of all shares in LC Åkersberga Fastighets AB, a wholly-owned subsidiary of Landsort Care 4 AB and owner of the property Åkersberga Berga 11:47. The agreed underlying property value amounts to approximately SEK 95 million before deduction of deferred tax. The acquisition supports the Company's strategy to build a Nordic property platform focused on cash flow generating assets and long-term value creation.
The property is fully let and centrally located in Åkersberga, comprising a mix of retail, public services and a parking garage. The lettable area amounts to 3,553 sqm, excluding the garage, with annual rental income of approximately SEK 9.3 million and a normalised net operating income for 2026 of approximately SEK 7.6 million.
The financing of the transaction is intended to consist of the assumption of existing external debt financing, newly issued class B shares in Episurf at a preliminary subscription price of SEK 0.10 per class B share, and a cash consideration in connection with completion. The final financing structure will be determined in connection with the entering into of a final share purchase agreement.
The parties' objective is to enter into a final share purchase agreement no later than 30 September 2026, with completion planned for around 1 December 2026. The entering into of a final share purchase agreement is conditional upon, among other things, customary due diligence, financing and board approval. Key metrics for the Property
The property has an agreed underlying property value of approximately SEK 95 million, a lettable area of 3,553 sqm excluding the garage, and an occupancy rate of 100 per cent. The normalised net operating income for 2026 amounts to approximately SEK 7.6 million, annual rental income to approximately SEK 9.3 million, and the weighted average unexpired lease term (WAULT) to 3.2 years.
