Fjord Defence Group ASA - Successful completion of acquisition of PartnerTech Karlskoga Aktiebolag

Reference is made to the stock exchange announcement made by Fjord Defence Group
ASA ("Fjord Defence Group" or the "Company") on 17 June 2026 regarding inter
alia the Company's agreement to acquire 100% of the shares in PartnerTech
Karlskoga Aktiebolag ("PartnerTech") from Permec Group AB (the "Seller") (the
"Acquisition").
The Company is pleased to announce that the Acquisition has been successfully
completed today. As authorised by the Company's extraordinary meeting held on 10
July 2026, the board of directors has today resolved to increase the share
capital and issue a total of 14,998,382 new shares in the Company to the Seller
and 767,959 new shares to certain key individuals of PartnerTech, each at a
subscription price of NOK 16.50 per share (collectively, the "Consideration
Shares"), as part settlement of the consideration payable by the Company in the
Acquisition. The final number of Consideration Shares issued to certain key
individuals of PartnerTech is 7 shares lower than indicated in the Company's
stock exchange announcement of 24 August 2026 regarding the approval and
publication of a prospectus.
The Consideration Shares will be subject to lock-up, with 50% of the
Consideration Shares being released after 12 months and the remaining 50% after
24 months, calculated from the date of completion of the Acquisition (i.e. from
26 August 2026).
Following registration of the share capital increase pertaining to the issuance
of the Consideration Shares, the Company's new share capital will be NOK
981,876,252.00, divided into 116,890,030 shares, each with a par value of NOK
8.40.
