EXERCISE OF WARRANTS

A holder of 1,700,000 warrants in Nio Inc. has exercised its right to buy 1,700,000 shares in Nio Inc. at a share price of NOK 2.50 per share. Following the issue of the 1,700,000 new shares, the number of outstanding shares will increase from 145,634,309 to 147,334,309. The new shares are expected to be issued on or about December 20, 2012 and will be issued under the Company's 250,000,000 authorized shares. After this transaction, 4,300,000 warrants are outstanding, each with a strike price of NOK 2.50 and expiry on December 31, 2012. In addition, 694,634 options are outstanding.
