NOT FOR RELEASE, PUBLICATION OR DISTRIBUTION, DIRECTLY OR INDIRECTLY, IN OR INTO THE UNITED STATES, AUSTRALIA, BELARUS, HONG KONG, JAPAN, CANADA, NEW ZEALAND, RUSSIA, SWITZERLAND, SINGAPORE, SOUTH AFRICA, SOUTH KOREA, OR IN ANY OTHER JURISDICTION WHERE DISTRIBUTION OF THIS PRESS RELEASE WOULD BE UNLAWFUL OR REQUIRE MEASURES IN ADDITION TO THOSE REQUIRED UNDER SWEDISH LAW. PLEASE REFER TO THE SECTION “IMPORTANT INFORMATION” AT THE END OF THIS PRESS RELEASE.
Goobit Group AB (publ) (“Goobit” or the “Company”) announces that the Company has received additional subscription commitments of approximately SEK 0.7 million in the ongoing rights issue of units of approximately SEK 25.1 million (the “Rights Issue”). The new subscription commitments have been made by, among others, the Company’s Chairman of the Board Michael Völter and CFO Arnar Vidarsson. As a result, total subscription commitments amount to approximately SEK 15.7 million, corresponding to approximately 62.4 percent of the Rights Issue, of which approximately SEK 14.2 million, corresponding to approximately 56.6 percent, has been made by the Board of Directors and management. The majority of the previously made subscription commitments will be paid through set-off of claims against the Company.
The new subscription commitments of approximately SEK 0.7 million, corresponding to approximately 2.7 percent of the Rights Issue, have been made by, among others, the Company’s Chairman of the Board and CFO. The subscription commitments relate to subscription both with and without exercise of unit rights.
The Company has previously received subscription commitments amounting to a total of approximately SEK 15.0 million, corresponding to approximately 59.7 percent of the Rights Issue, from the CEO, the CMO and Board member Christian Ander, directly or through companies, as well as from two larger shareholders, Erik Byström and GBI Holding AB. Of these, approximately SEK 13.8 million will be paid through set-off of claims against the Company. Together with the new subscription commitments of approximately SEK 0.7 million, total subscription commitments amount to approximately SEK 15.7 million, corresponding to approximately 62.4 percent of the Rights Issue. In addition, the Company has received a conditional subscription undertaking of up to approximately SEK 2.5 million, corresponding to approximately 10.0 percent, and an underwriting commitment of approximately SEK 7.6 million, corresponding to approximately 30.3 percent of the Rights Issue. The Rights Issue thus remains fully covered by subscription commitments, the conditional subscription undertaking and the underwriting commitment. The new subscription commitments reduce, by a corresponding amount, the allocation that may be made under the underwriting commitment in the first instance and under the conditional subscription undertaking in the second instance.
No compensation is payable for the subscription commitments. The subscription commitments are not secured by bank guarantee, blocked funds, pledges or similar arrangements.
The subscription period runs until and including 5 November 2026, and trading in unit rights takes place until and including 2 November 2026. Shareholders with nominee-registered holdings are advised to check with their bank or nominee, as the last day for subscription may be earlier. The complete terms and conditions are set out in the information document published on 20 October 2026.
