Íslandsbanki hf.: Transactions in relation to a share repurchase programme - end of round
Reference is made to an announcement from Íslandsbanki hf., published 27 June 2026 on the further implementation of a share repurchase programme relating to own shares in the amount of ISK 3.95 billion, initially announced on 16 February 2026. In week 33 Íslandsbanki hf. (the Bank) purchased in total 2,863,183 own shares for the total amount of ISK 413,707,509 as further listed in this announcement.

Prior to transactions carried out during week 33, the Bank held 102,150,283 own shares, corresponding to 5.83% of issued share capital. Following the transactions in week 33, the Bank held 105,013,466 own shares. Subsequently, the Bank settled employee share option agreements and sold 6,397,210 own shares for that purpose. Following the above transactions, the Bank holds 98,616,256 shares, corresponding to 5.63% of issued share capital.
This round of share buybacks, announced to the market on 27 June 2026, is now concluded. According to the aforementioned announcement, the aim was to repurchase own shares of the maximum amount of 30 million shares, corresponding to 1.71% of issued share capital, the total purchase price for repurchased shares however not exceeding ISK 3,950,000,000 in total. This round of share buybacks commenced on 29 June 2026 and was to remain in force until 30 September 2026, unless the conditions on the maximum amount of shares or purchase price is met before that time.
During this round of repurchase of own shares the Bank has purchased in total 27,595,210 own shares, corresponding to 1.57% of issued share capital, for the total purchase price of ISK 3,949,999,924. The aforementioned maximum total purchase price has therefore been met in this round.
The Bank’s share repurchase programme, established pursuant to an authorisation granted by the Financial Supervisory Authority of the Central Bank of Iceland on 4 February 2026, has now been concluded as the maximum amount permitted under the authorisation has been reached. Since the commencement of the programme, announced on 16 February 2026, the Bank has repurchased a total of 105,013,466 own shares, corresponding to approximately 5.99% of the Bank’s issued share capital.
The Bank will continue to evaluate opportunities for further repurchases of its own shares, subject to obtaining the necessary regulatory approvals.
The share repurchase programme is carried out in accordance with the applicable law, including the Act on limited liability companies No. 2/1995, Regulation No. 596/2014 of the European Parliament and of the Council on market abuse, Commission delegated regulation (EU) 2016/1052 of 8 March 2016, the Act on Measures Against Market Abuse No. 60/2021 and regulation 1290/2025 on the same subject. The approval of the Financial Supervisory Authority of the Central Bank of Iceland for the Bank's repurchase of own shares had been obtained.
