Lifecare ASA: Share capital increase registered
Reference is made to the stock exchange announcement by Lifecare ASA (the "Company") on 11 September 2026 regarding the completion of the acquisition of Ocean TuniCell AS.
The share capital increase pertaining to the issuance of the consideration shares has now been registered with the Norwegian Register of Business Enterprises. The Company's new share capital is NOK 43,036,196.00 divided into 430,361,960 shares, each with a nominal value of NOK 0.10.
The new shares will be delivered to the VPS accounts of the subscribers to whom they are allocated on or about 15 September 2026. The new shares may not be traded by subscribers until they are received on the respective subscriber's VPS account.
20,914,068 of the consideration shares are subject to lock-up obligations for a period of nine months from completion of the transaction on the terms and conditions of the share purchase agreement.
