Cleantech Invest increases its holding in Nocart Oy through a share swap

Cleantech Invest Plc has signed an agreement on the share swap with Vesa Korhonen, Managing Director of Nocart Oy, a portolio company of Cleantech Invest. After the share swap, the holding of Cleantech Invest in Nocart Oy will increase to approx. 15.5%.

Concerning the share swap the Board of Directors of Cleantech Invest Plc has decided - pursuant to the authorisation given by the shareholders of the company on 19 March 2014 - to launch a directed share issue, in which a total of 92,307 new class A shares were offered to Vesa Korhonen for subscription at a price of EUR 0.65 per share. The subscription price is equal to the subscription price used in the listing of Cleantech Invest Plc. The subscription price was paid by giving a total of 567 class A shares of Nocart Oy owned by Vesa Korhonen to Cleantech Invest Plc as contribution in kind according to the conditions of the agreement on the share swap. These shares represent approx. 5.0% of all shares in Nocart Oy. The subscription price of the new shares will be recorded in full to the non-restricted equity fund of Cleantech Invest Plc. After the share swap, the holding of Vesa Korhonen in Nocart Oy is approx. 75.0% of all shares.

The 92,307 new class A shares, which were subscribed in the directed share issue of Cleantech Invest Plc are estimated to be entered in the Trade Register approximately on 29 December 2014. The new shares represent approx. 0.5% of all the shares in the company after their registration and they will give the shareholders' rights as from the date of the registration. The total number of Cleantech Invest Plc's shares after the registration of the new shares is 18,173,707, out of which 5,450,000 shares in class K and 12,723,707 shares in class A.

The new class A shares of Cleantech Invest Plc will be subject to trading on the multilateral trading facility First North Finland maintained by NASDAQ OMX Helsinki Ltd. approximately as from 30 December 2014.
