Norsk Titanium AS: Mandatory notification of trade

Oslo, 18 June 2026. Reference is made to the announcement by Norsk Titanium AS
("Norsk Titanium" or the "Company") on 18 June 2026 regarding the completion of
a private placement of new shares in the Company with gross proceeds of NOK
260,000,000 (the "Private Placement") by the allocation of a total of
260,000,000 new shares in the Company (the "Offer Shares") each at a
subscription price of NOK 1.00 per Offer Share (the "Subscription Price").

In connection with the Private Placement, the following close associates of
persons discharging managerial responsibilities were allocated Offer Shares at
the Subscription Price, as set out below:

o	Scatec Innovation AS, a legal person closely associated with John Andersen,
chairman of the board of the Company, was allocated 42,705,000 Offer Shares;
o	White Chrystals Ltd, a legal person closely associated with Tarek Hegazy, a
board member of the Company, was allocated 42,705,000 Offer Shares. 

Reference is further made to the stock exchange announcement made by the Company
today regarding the settlement of 130,460,200 Offer Shares in tranche 1 in the
Private Placement ("Tranche 1" and the "Tranche 1 Offer Shares") through a share
lending agreement entered into between the Company, the Managers, and Scatec
Innovation AS as the lender (the "Share Lender") (the "Share Lending
Agreement"). The Share Lender has today, pursuant to the Share Lending Agreement
and in connection with the Private Placement, lent out 130,460,200 ordinary
shares in order to facilitate DVP settlement of the Tranche 1 Offer Shares in
the Private Placement (the "Share Lending").

The Share Lending is made solely for settlement purposes and will be returned
upon registration of the share capital increase for issuance of the Tranche 1
Offer Shares in the Private Placement.
