PEPTONIC Medical AB: Peptonic Medical clarifies information regarding the acquisition of the strategic shareholding in DGH International AB (formerly Intellego Technologies AB)
Peptonic Medical AB (publ) ("Peptonic" or the "Company") provides the following supplementary information in connection with the press release published today, 2 September 2026 at 07:00 CEST, regarding the Company's acquisition of the shareholding in DGH International AB ("DGH"). Peptonic's existing operating business is not affected and will continue unchanged. The investment in DGH means that Peptonic broadens its exposure within the medical technology sector and creates conditions for long-term value creation through its holding in DGH.
The Board of Directors has assessed that strategic exposure to an established medical technology company through DGH and its underlying assets, technology and intellectual property rights may contribute positively to the Company's future development and thereby create value for Peptonic's shareholders.
The acquisition should be viewed as a strategic investment and does not mean that Peptonic is changing its existing operations or intends to integrate DGH's operations into Peptonic's existing intimate health business. Peptonic's operational focus on the development and sale of products within women's intimate health remains unchanged.
Through the investment, Peptonic obtains an ownership interest in DGH and its underlying businesses, including Daro Group International, as well as the technology, IP and patent portfolio held within the group. Peptonic's Board of Directors has assessed that these assets have significant long-term value and that the investment, despite identified risks, offers substantial potential. Furthermore, the Board considers that the underlying values in the DGF Group can be further developed or realised over time to create value for Peptonic's shareholders.
The acquisition has been financed through loans. Loans from the sellers, ScanInvest Ltd and Bosmac Invest AB, amount to SEK 4.5 million each and carry, until further notice, monthly interest of 1 percent, with the possibility of being set off, in whole or in part, at a later date against newly issued shares in Peptonic. The seller Mangold Fondkommission AB has been paid SEK 2.4 million in cash, with SEK 1.1 million in deferred payment due on 31 December 2026. To finance the acquisition, loans have also been raised from Bizcap AB and Aramia AB in the amount of SEK 1.5 million each, carrying monthly interest of 2 percent and maturing on 28 February 2027.
