Proact IT Group AB (publ) has initiated a share repurchase programme
The Board of Directors of Proact IT Group AB (publ) (“Proact”) has, pursuant to the authorisation granted by the Annual General Meeting on 5 May 2026, resolved to repurchase own shares. The repurchase programme commenced on 21 August 2026.
Repurchases may be made on one or more occasions during the period up to the next Annual General Meeting. Shares may be repurchased up to a maximum number such that Proact’s total holding does not at any time exceed 10 per cent of Proact’s total number of outstanding shares.
Repurchases shall be made in accordance with Nasdaq Stockholm’s Rule Book for Issuers. Repurchases may only be made at a price per share within the price interval applicable on Nasdaq Stockholm from time to time, meaning the interval between the highest bid price and the lowest ask price continuously quoted by Nasdaq Stockholm.
The purpose of the repurchase programme is to enable Proact to adapt the company’s capital structure in a flexible manner, and to enable the use of own shares as consideration for acquisitions and for long-term incentive programmes.
Repurchases of shares will not be announced separately, unless mandatory disclosure rules are applicable.
At the time of this press release, the total number of shares in Proact amounts to 25,651,658 shares, of which Proact currently holds 551,324 shares, corresponding to 2.15 per cent of the total number of shares.
