Relais Group Oyj: Relais Group Plc: Increases in the number of shares registered in the trade register

Relais Group Plc, Company Release 23 April 2021 at 9.00 a.m. EET

Total of 430,559 share subscription based on the directed share issue approved by the Board of Directors of Relais Group Plc on 31 March 2021, have been entered into the trade register today. The subscription price for the shares was EUR 16.8131 per share. The directed issue is related to the closing of the acquisition of Lumise Oy announced on 31 March 2021. With the closing of the acquisition, Relais Group Plc paid EUR 7.24 million of the purchase price by issuing a total of 430,559 new Relais Group Plc's shares to be subscribed by Kari Kauhanen and other shareholders of Lumise Oy.

Furthermore, a total of 20,000 new share subscriptions based on the company's stock options 2019F approved by the Board of Directors of Relais Group on 16 April 2021, have been entered into the trade register today. The share subscription price under option rights 2019F was 3.90 EUR per share.

After these subscriptions, the number of Relais Group Plc's shares and votes will rise to 17,745,683. These increases were recorded in their entirety in the reserve of invested unrestricted equity.

Relais Group Plc has applied for the listing of its new shares on the Nasdaq First North Growth Market Finland in the same series as the company's existing shares. According to the current estimate, the new shares will be listed on 26 April 2021.
