A holder of warrants in Simris Group AB (publ) has declared his intention to exercise 3.3 million warrants amounting to total proceeds of EUR 15,000
Simris Group AB (publ) ("Simris Group" or the "Company") has today received information from a holder of warrants of series 2026/2027 in Simris Group that he intends to exercise 3.3 million warrants at the subscription price of SEK 0.05 per class B share, amounting to total proceeds of EUR 15,000 before transaction costs.
On 19 January 2026, an extraordinary general meeting resolved on a directed issue of units consisting of shares and warrants of series 2026/2027 to certain investors. For more information regarding the warrants and the issue, please see the notice of the extraordinary general meeting disclosed by the Company on 16 December 2025.
Simris Group has today received information from a holder of warrants of series 2026/2027 that he intends to exercise 3.3 million warrants of series 2026/2027. The subscription price is SEK 0.05 per new class B share entailing that Simris Group will receive proceeds amounting to EUR 15,000 before transaction costs. Following the exercise, a total of 278,510,534 warrants of series 2026/2027 will remain outstanding.
Through the exercise of the warrants, a total of 3,300,000 new class B shares will be issued by the Company, increasing the total number of shares in the Company from 1,349,793,273 to 1,353,093,273, corresponding to a dilution of approximately 0.24 per cent. The share capital will increase by SEK 33,000, from SEK 13,497,932.73 to SEK 13,530,932.73.
Additional holders of warrants of series 2026/2027 have previously informed the Company of their intention to exercise, as disclosed by the Company in a separate press release on 6 July 2026.
