SpareBank 1 Nord-Norge: Disclosure of large holding in SpareBank 1 Helgeland
Reference is made to SpareBank1 Helgeland's stock exchange announcements of 18 March 2020 and 12 August 2021, as well as SpareBank 1 Helgeland's prospectus dated 10 September 2021 regarding the guaranteed public offering of equity capital certificates in SpareBank 1 Helgeland and SpareBank 1 Helgeland's acquisition of operations from SpareBank 1 Nord-Norge in Helgeland.
As previously disclosed, SpareBank 1 Nord-Norge has committed to subscribe for, and is entitled to be allocated, 5 397 325 equity capital certificates in the ongoing public offering in SpareBank 1 Helgeland. SpareBank 1 Nord-Norge has therefore today, 22 September 2021, subscribed for 5 397 325 equity certificates in the offering. SpareBank 1 Nord-Norge does not currently hold any equity capital certificates issued by SpareBank 1 Helgeland. The new equity capital certificates will, upon completion of the public offering of equity capital certificates, result in SpareBank 1 Nord-Norge becoming the owner of approximately 19.99% of the then issued equity capital certificates issued by SpareBank 1 Helgeland and a corresponding share of the votes at the equity capital certificate owners' election meeting. Upon completion of the public offering, SpareBank 1 Nord-Norge will thus exceed the notification threshold of 15%.
