Truecaller AB: Repurchase Truecaller B shares in week 38, 2026
During week 38, 14 September - 18 September 2026, Truecaller AB (publ) (LEI code 549300TEYF1FA5G5GK26) repurchased in total 1,000,000 own B shares (ISIN: SE0016787071), corresponding to 0.32% of outstanding capital. The extraordinary general meeting on 10 September 2026 resolved to reduce the share capital through the cancellation of 24,185,040 repurchased Series B shares to enable the continued execution of the buyback program up until Truecaller's annual general meeting in May 2027. The cancellation of the Series B shares has now been completed, and following the cancellation and the repurchases during week 38, Truecaller holds own shares corresponding to 2.46% of the total number of shares in the company.
At the 2026 AGM the Board of Directors was authorized to repurchase B shares until the 2027 Annual General Meeting. The authorization means that the Board may decide to repurchase B shares in such a number that the company's holding of its own shares does not, at any given time, exceed ten (10) percent of the total number of outstanding shares in the company. The extraordinary general meeting on 10 September 2026 resolved to reduce the share capital through the cancellation of 24,185,040 repurchased Series B shares to enable the continued execution of the buyback program up until Truecaller's annual general meeting in May 2027. The cancellation of the Series B shares has now been completed, and the repurchases will continue in accordance with the buyback program announced on 15 June 2026.
The share buybacks formed part of the share buyback programme announced by Truecaller on 15 June 2026. The share buyback programme will take place between 15 June 2026 up until the 2027 AGM, and is carried out in accordance "Emittentregelverket".

Following the above acquisitions and the cancellation of 24,185,040 B-shares, Truecaller's holding of own shares as of 18 September 2026 amounts to 5,622,525 B shares and 2,089,498 C shares, corresponding to 2.46% of the total number of shares in the company and 1.05% of the total number of votes..
The total number of shares in Truecaller, including own shares, amounts to 313,330,755 and the number of outstanding shares, excluding own shares, amounts to 305,618,732.
