Share Issuance under UK ATM Facility & Total Voting Rights

Zenith Energy Ltd. (LSE: ZEN; OSE: ZENA; XSAT: ZENA SDR), the listed
international energy production and development company, announces the issue of
14,781,689 Common Shares at an average price of approximately £0.04 per share to
raise approximately £590,000 in the United Kingdom (the "ATM Shares"). The ATM
Shares are being issued under the At-The-Market Facility ("ATM") announced on 10
July 2026, full details can be found in that announcement.

The proceeds from the ATM Shares will be used to progress the Company's solar
power development strategy, as set out in the announcement of 12 August 2026. 

The ATM Shares are expected to be admitted on or before 14 September 2026
("Admission").

Following Admission, the Company will have 779,538,146 Common Shares in issue,
each carrying one voting right. The Company does not hold any Common Shares in
treasury. As a result, the total number of voting rights in the Company will be
779,538,146.

This figure may be used by shareholders as the denominator for the calculations
by which they determine whether they are required to notify an interest in, or a
change to an interest in, the Company pursuant to sections 3.10 and 3.11.5(3) of
Part II of the Euronext Growth Oslo Rule Book.
