Nedre Vats, 2 November 2021. Reference is made to the announcement (the "Announcement") by AutoStore Holdings Ltd. ("AutoStore" or the "Company", OSE ticker code "AUTO") on 20 October 2021 regarding start of the stabilisation period in connection with the completed offering of shares in the Company (the "Offering" or the "IPO") and the listing of the Company's shares on Oslo Børs (the "Listing").

Carnegie AS (the "Stabilisation Manager"), acting as stabilisation manager in connection with the Offering and the Listing on behalf of the Managers (as defined below), hereby gives notice that stabilisation activities in the shares of AutoStore have been discontinued and that stabilisation was undertaken in relation to the shares in AutoStore with a total of 580,971 shares purchased as part of the stabilisation. The shares were purchased at an average price of NOK 31.00 per share and stabilisation last occurred on 20 October 2021.

The shares purchased through stabilisation activities will be redelivered to the Selling Shareholders (as defined in the Announcement) in accordance with the terms of an underwriting agreement.

The Stabilisation Manager has, on behalf of the Managers, in part exercised the Greenshoe Option to purchase shares in the Company from the Selling Shareholders and the Option Selling Shareholders (as defined in the Announcement). 86,492,993 existing shares in the Company will be purchased from the Selling Shareholders and the Option Selling Shareholders under the Greenshoe Option at a price of NOK 31.00 per share, equal to the final offer price in the Offering.

Carnegie AS, J.P. Morgan AG, and Morgan Stanley & Co. International plc are acting as joint global coordinators and joint bookrunners in the Offering (together, the "Joint Global Coordinators"). ABG Sundal Collier ASA, Citigroup Global Markets Limited and Jefferies GmbH are acting as joint bookrunners in the Offering (together with the Joint Global Coordinators, the "Joint Bookrunners"). Mizuho Securities Europe GmbH and SpareBank 1 Markets AS are acting as co-lead managers (together with the Joint Global Coordinators and the Joint Bookrunners, the "Managers"). Moelis & Company UK LLP is acting as Financial Advisor in relation to the IPO (the "Financial Advisor").

Advokatfirmaet Thommessen AS is acting as the Norwegian legal counsel to the Company. Kirkland & Ellis International LLP is acting as international legal counsel to the Company.
