NOT FOR DISTRIBUTION OR RELEASE, IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, IN OR INTO THE UNITED STATES OF AMERICA, AUSTRALIA, CANADA, HONG KONG OR JAPAN, OR ANY OTHER JURISDICTION IN WHICH THE DISTRIBUTION OR RELEASE WOULD BE UNLAWFUL Reference is made to the previous announcements by Hiddn Solutions ASA (the "Company") regarding the fully underwritten subsequent offering of 25,000,000 new shares in the Company (the "Offer Shares") at a subscription price of NOK 1.20 raising gross proceeds of NOK 30 million (the "Subsequent Offering"). The subscription period for the Subsequent Offering expired at 16:30 CET today 16 March 2020. Preliminary counting indicates that the Company has received gross subscriptions for approximately 4.7 million Offer Shares, of which certain subscriptions seems to have been made without subscriptions rights. 25 million Offer Shares were offered in the Subsequent Offering. The Subsequent Offering is fully underwritten by the investors that participated in the Company’s NOK 50 million private placement that was completed in January 2020 (the "Underwriters "). Based on the preliminary counting, the remaining approximately 20.3 million Offer Shares not subscribed for on the basis of subscription rights, subject to the final number of subscription rights used to subscribe for Offer Shares in the Subsequent Offering and that will be allocated Offer Shares based on the allocation principles set out in the Prospectus, will be allocated to the Underwriters. The final allocation of the Offer Shares will take place tomorrow 17 March 2020 in accordance with the allocation criteria set out in the prospectus dated 28 February 2020. The final result of the Subsequent Offering will be published shortly thereafter, and letters regarding allocation of Offer Shares and the corresponding subscription amount to be paid by each subscriber, are expected to be distributed during the course of 17 March 2020. The payment date for the new shares is 19 March 2020. DNB Markets, a part of DNB Bank ASA, is acting as Manager in connection with the Subsequent Offering.
