COPENHAGEN, Denmark, 29 June 2022 - Napatech (OSLO: NAPA.OL) today announced
that the Board of Directors of Napatech A/S has decided to issue share options
to members of the Board of Directors and key employees in the company.
The Board's decision was made in accordance with the 2022 annual general
meeting's decision and authorization to the Board adopted as Articles 7.8 and
7.9 in the articles of association and as approved at a Board meeting on 29 June
2022.
The authorization from the annual general meeting in 2022 was for a total of
440,000 share options (corresponding to nominally DKK 110,000 shares) to
members of the Board of Directors and 800,000 share options (corresponding to
nominally DKK 200,000 shares) to the management and employees in the Napatech
Group.
A total of 365,494 share options have been issued to members of the Board of
Directors for the subscription of up to 365,494 shares of a nominal value of DKK
0.25 each at an exercise price of DKK 0.25 per share:
o Lars Boilesen, Chairman of the Board of Directors, will receive 272.306 share
options and holds after this a total of 272.306 share options and 358,777 shares
in the company.
o Howard Gregory Bubb, member of the Board of Directors, will receive 46,594
share options and holds after this a total of 46,594 share options and 101,093
shares in the company.
o Thomas Embla Bonnerud, member of the Board of Directors, will receive 46,594
share options and holds after this a total of 46,594 share options and nil
shares in the company.
All share options to members of the Board of Directors shall be exercised by 30
April 2025 and are subject to the Napatech Share Option Program 2022 for the
Board of Directors, which is attached to the articles of association.
In addition, a total of 300,000 share options have been issued to key employees
for the subscription of up to 300,000 shares of a nominal value of DKK 0.25 each
at an exercise price of NOK 11.00 per share.
All share options to such key employees shall be exercised by 29 June 2030 and
are subject to the Napatech Share Option and Incentive Program 2022 which is
attached to the articles of association.
