Reference is made to Norwegian Air Shuttle ASA (the “Company”) perpetual 0% EUR convertible bond loan with ISIN NO 0010883416 in the aggregate amount of EUR 4,752,283 (“EUR Perpetual Bonds”). The Company has received conversion notices from bondholders representing EUR 2,256,335 in this bond issue, which pursuant to standard terms set out in the bond terms are convertible into 6,046,802 new freely tradable shares in the Company. The EUR Perpetual Bonds form part of the Company’s subordinated bond issue (“Perpetual Bonds”) as further described in the prospectus dated 5 May 2020 (the “Prospectus”). As set out in the Prospectus, the Perpetual Bonds have been issued on multiple ISINs reflecting different currencies of issue and lock-up periods. After the conversion, the remaining principal outstanding under the Perpetual Bonds amounts to NOK 1,922,421,425.69 (including amounts issued in other currencies converted to NOK at the fixed exchange rate as further described in the Prospectus). The Company's share capital is increased by NOK 604,680.20 by issue of 6,046,802 new shares. The increase pertaining to the conversion of the Perpetual Bonds has today been registered in the Norwegian Register of Business Enterprises (Nw.: Foretaksregisteret). The Company's new share capital is NOK 363,970,914.80 divided into 3,639,709,148.00 shares, each with a nominal value of NOK 0.10. The new shares will be listed on the Oslo Stock Exchange and admitted to trading when recorded in the VPS which is expected to take place on or about 7 September 2020.
