Successful private placement

Reference is made to the stock exchange release by SoftOx Solutions AS (the
“Company” or “SoftOx” with Merkur ticker: “SOFTOX-ME”) on 14 December 2018
regarding a contemplated private placement (the “Private Placement”) of new
shares in the Company.
SoftOx is pleased to announce that the Company has successfully completed a NOK
15 million Private Placement with the support from new and existing
shareholders. The Private Placement consists of 680 000 new shares, each at a
subscription price of NOK 22.
Completion of the Private Placement is subject to the adoption of the required
corporate resolutions of the Company, which will include a resolution by the
Company's extraordinary general meeting scheduled for 2 January 2019.
Notice of a conditional allocation conducted by the Board of Directors is
expected to be distributed to the investors on 22 December 2018.
The following primary insiders of the Company have been conditionally allocated
shares in the Private Placement:
•	Hermod Finans AS, a company fully owned by an affiliate of Geir Almås, Chief
Executive Officer: 91 000 shares. Geir Almås and affiliates controls after the
share issue 788,750 shares.
•	Dinge Invest AS, a company fully owned by Kristian Almås and family,
Non-executive member of the Board: 141 255 shares. Kristian Almås and affiliates
controls after the share issue 1,556,055 shares.
Completion of the Private Placement is also conditional upon the Offer Shares
having been fully paid and legally issued. Following issuance of the Offer
Shares, the Company will have an issued share capital of NOK 89 173 divided into
4,458,650 common shares, each with a nominal value of NOK 0,02. 
SpareBank 1 Markets AS acts as manager in the Private Placement.
