With reference to the power of attorney granted by the annual general meeting at April 12, 2019 the Board of the Directors has established a share option scheme and allocated a total of 2.300.000 share options. 

The strike price of the allocated options is NOK 27.00.  The strike price will be reduced by the amount paid in dividends per share in the period between the time of allocation and exercise date. In the event of any changes in the company’s share capital through merger, demerger, repayment to shareholders, etc, the number of share options and/or the strike price will be adjusted in accordance with the generally recognised principles for such adjustments.

The options are European Call Options which can be exercised at the earliest in May 2022, or in October 2022 or at the latest in February 2023. The share option holder must be an employee of the company to be allowed to receive and to exercise any share options. To be fully eligible the share option holder has to own a number of Data Respons shares equal to a minimum of 10% of the number of allocated options during the term of the options.

The following primary insiders have been granted share options:

Kenneth Ragnvaldsen-CEO– 900 000 share options
Rune Wahl-CFO-600 000 share options
Jørn Toppe- Director Solutions- 200 000 share options
Eirik Arnø – Strategy&Growth- 150 000 share options  

None of the primary insiders had any share options before the allocation.
The total outstanding share options in the company after the allocation is 2 300 000 share options.
