Reference is made to the extraordinary general meeting held on 11 November 2020, where the general meeting resolved to authorise the board of directors to increase the share capital of FREYR AS (the Company) with up to NOK 22,226.42, by way of issuance of common shares to KIC InnoEnergy SE. The board of directors have resolved to increase the Company’s share capital with NOK 22,088.65 by issuing 2,208,865 common shares, each with a nominal value of NOK 0.01. The share capital increase was registered in the Business Registry on 15 January 2021.

Following the share capital increase and issuance of shares, the Company’s share capital is NOK 2,166,968.27 divided on 209,196,827 common shares and 7,500,000 convertible preference shares, each with a nominal value of NOK 0.01.
