FREYR – Merger of FREYR AS into Norway Sub 2 AS (now renamed FREYR Battery Norway AS) with consideration shares in Norway Sub 1 AS effective – NOTC listing ended

OSLO, Norway, July, 5, 2021 – Reference is made to the releases made by FREYR AS (“FREYR”) on June 30, 2021 and on July 2, 2021. The merger of FREYR into Norway Sub 2 AS (now renamed FREYR Battery Norway AS) with consideration shares in Norway Sub 1 AS  (“Norway Sub 1”) in accordance with the plan of merger approved by FREYR’s general meeting on February 16, 2021, has been effected. The capitalization of Norway Sub 1 is identical to the capitalization of FREYR prior to the merger: One share and one warrant has been issued in Norway Sub 1 in respect of each share and each warrant in FREYR, in each class of shares and each class of warrants. 

Listing of trades in FREYR’s shares on the NOTC has ended.
