Oslo, 25 September 2020. The board of directors hereby convenes an extraordinary general meeting in FREYR AS to be held on 6 October 2020 at 15:00 (CET) in the offices of Advokatfirmaet BAHR AS at Tjuvholmen allé 16 in Oslo, Norway. 
 
The following matters are on the agenda: 
 
1. Election of chairman of the meeting and a person to co-sign the minutes  
2. Approval of the notice and agenda 
3. Orientation regarding compensation for employees 
4. Issue of warrants to Edge Global LLC 
5. Amendment of the articles of association 
6. Election of a new director 
7.	Election of an auditor 
 
With reference to the proposed issuance of warrants and options announced 15 September 2020, the board has decided to adjust the proposed subscription price for the warrants to Edge Global LLC from NOK 1.50 to NOK 1.85 to be on level with the volume weighted average trading price of the FREYR share the five days leading up to 1 September 2020. The chairman of the board has further requested that the board withdraws the proposed grant of options to the chairman in accordance with good corporate governance practice. FREYR has a growth strategy and has stated an ambition to list the company’s share on a regulated marketplace to finance its growth. The company strives to have high corporate governance standards both to build a quality company and to serve its stakeholders and shareholders in a best possible way.

Due to the outbreak of the corona virus, shareholders are encouraged to participate by means of granting a proxy as described in the notice rather than appearing in person at the general meeting. The company may be prevented from arranging the meeting as a physical meeting. Shareholders should note that additional information on proceedings of the meeting may be given on short notice. 
 
The extraordinary general meeting will be held in the offices of Advokatfirmaet BAHR AS at Tjuvholmen allé 16 in Oslo, Norway. Registration of attendance will take place from 13.45 (CET).
