AcadeMedia announces that the board of directors today has resolved to carry out an issue of 255,600 new class C shares and to immediately thereafter repurchase all such class C shares.
By virtue of the authorization granted by the annual general meeting held on 26 November 2025, the board of directors of AcadeMedia has resolved to increase the share capital by SEK 291,890.357542, through an issue of 255,600 new class C shares to Bergs Securities AB, each at a subscription price corresponding to the quota value of the shares. All issued new class C shares will thereafter, in accordance with the board of directors’ resolution, be repurchased from Bergs Securities AB at the same price.
The purpose of the issue and the repurchase is to ensure delivery of ordinary shares to employees of AcadeMedia in accordance with the company’s long-term incentive program adopted by the annual general meeting held on 26 November 2025. The new class C shares will be converted into ordinary shares prior to delivery to eligible participants in the incentive program. The class C shares do not carry any right to dividends, and each class C share entitles to one-tenth (1/10) of a vote.
In addition to the above, AcadeMedia already holds 193,057 of its own class C shares.
