Argo Defence Group AB (publ) (”Argo Defence” or the "Company"), a fast-growing and profitable defence group, today announces its intention to list the Company's shares on NGM Nordic SME (”Listing”). The capital raise (the “Offering”) consists of an offer to, on the one hand, so-called qualified investors and individuals with a minimum investment amount of EUR 100,000 per investor (the “Institutional Offering”), and, on the other hand, an offer to the general public in Sweden amounting to a total of up to EUR 2.5 million (the “Retail Offering”). Pareto Securities AB (“Pareto”) acts as Sole Global Coordinator and Bookrunner in connection with the Offering.
The Offering in brief:
- The Offering is expected to be carried out at a fixed price of SEK 17 per share, corresponding to a pre-money equity valuation of approximately SEK 270 million.
- The Offering includes a new share issue that is expected to raise approximately SEK 70 million to the Company before deduction of costs relating to the Offering.
- In order to cover any potential over-allotments, the Offering may comprise up to an additional 617,647 newly issued shares, corresponding to a maximum of 15 percent of the total number of shares included in the Offering (the “Over-allotment Option”, also referred to as the greenshoe option).
- The Over-allotment Option relates to new shares issued by the Company and may be exercised by Pareto, in whole or in part, within 30 calendar days from the first day of trading in the Company’s shares on NGM Nordic SME.
- If the Over-Allotment Option and the Offering are exercised in full, the Company will issue a total of 4,735,294 shares, which will bring the Company approximately SEK 80 million before deduction of transaction costs related to the Equity Issue and Over-Allotment Option.
- Full terms and conditions for the Offering will be available in the information memorandum (the “Information Memorandum”) which is expected to be published 1 December 2025.
- The capital raise consists of the Institutional Offering and the Retail Offering, as defined above
- The subscription period runs from 1-8 December 2025.
- First day of trading in the Company's shares on NGM Nordic SME is expected to be 16 December 2025.
- Lock-up: The Company (360 days, subject to customary exceptions), management and the board of directors (360 days), and shareholders holding more than 1% (180 days on 90% of their respective holdings).
- The Listing, the Offering, and the Over-Allotment Option are jointly referred to as the “Transaction”.
Background to the Listing and the Offering
Argo Defence is a growth-oriented defence group with a focus on customers within both military and civil defence. The Company was established in 2025 and today consists of five subsidiaries: Swedish Net Air & Defence AB, Disarmament Solutions, Disarmament Solutions Ukraine, Zel-Aaren Innovation, and LPG Trafikmarkeringar. By combining complementary expertise, Argo Defence has positioned itself as a more comprehensive supplier of defence-related solutions with the ability to address the evolving needs of both governmental and private sector clients.
The Company expects to grow both organically, driven by strong market demand for modern defence solutions, and through acquisitions, supported by an established pipeline of potential targets. To support this growth strategy and increase the Company’s visibility in the market, Argo Defence intends to list the Company’s shares on NGM Nordic SME in Stockholm.
The purpose of the listing is to raise capital to accelerate the Company’s growth, both organically and through acquisitions, while broadening the shareholder base. The listing will give the Company access to a wider capital market, thereby strengthening its financial flexibility and enabling a higher pace of acquisitions and investments in innovation over time. In addition, being a listed company is expected to enhance the Company’s brand recognition, credibility, and attractiveness to potential partners, clients, and employees.
The Offering is conducted prior to the first day of trading to achieve the required shareholder distribution for the listing and, in addition, aims to raise capital to enable attractive acquisitions, strengthen the Company’s working capital position, and complete payments related to previous acquisitions.

Summary of financial information (Pro forma figures)[1]
- Strong revenue growth: Revenue increased from SEK 31m in FY23 to SEK 141m in FY24, with FY25 guidance of SEK 150–165m (representing 18–30% YoY growth).
- Improved profitability: EBITDA improved from SEK –5m (FY23) to SEK 15m (FY24), corresponding to a 12% margin. FY25 EBITDA is guided at SEK 18–23m (11–15% margin).
- Solid contract base: Framework agreements amount to SEK 862m in total, of which SEK 156m has been delivered or ordered, and SEK 706m remains with expected order and deliveries through 2029, with a focus on 2026 and 2027.
- 2025 guidance:
- Revenue SEK 150–165m.
- EBITDA SEK 18–23m (11–15% margin).
- Medium-term financial targets:
- Organic revenue growth >20% per year. With individual years potentially affected positively or negatively by the timing of customer orders. In addition to organic growth, the company is expected to pursue acquisitions.
- EBITDA margin >15% per year. With individual years potentially affected positively or negatively by the timing of customer orders.

Foreign direct investments in the Company
The Company engages in protected activities (Sw. skyddsvärd verksamhet according to the (2023:560) Screening of foreign direct investments act (“FDI act”). The Company is obliged to inform prospective investors that an investment in the Company may be subject to notification under the FDI act and must be reviewed by the Inspectorate of Strategic Products (“ISP”) before the investments can take place.
