Reference is made to a press release from Arion Bank, published 16 July 2021 regarding the launch of a share buyback program and press release published September 4 regarding continued share buyback program. That programme has now been concluded.

In week 39 and 40 2021 Arion Bank purchased own shares on Nasdaq Iceland and Swedish Depository Receipts (SDR) on Nasdaq Stockholm. See further details below.

The Bank held 103,665,335 of own shares and SDRs prior to the transactions in week 39 and holds 111,509,630 shares and SDRs by the end of the programme. The Bank currently holds 6.72% of issued shares in the Bank. Since the launch of the share buyback programme the Bank has bought in total 46,549,512 shares and 551,394 SDRs amounting to ISK 7,932,916,661 under the program which was managed by Kvika Bank hf and Islandsbanki hf.

The Bank had permission to purchase up to 63,000,000 shares/SDRs in total under the Program, corresponding to 3.80% of its current issued share capital. The repurchase authorisation was divided up between the Icelandic and Swedish markets. Consequently, up to 1,260,000 SDRs could be repurchased in Sweden and up to 61,740,000 shares repurchased in Iceland. The total consideration for purchased SDRs should not exceed ISK 160,000,000 in Sweden and ISK 7,840,000,000 for purchased shares in Iceland (ISK 8,000,000,000 total).
 
The Program was carried out in accordance with applicable law and regulation in Iceland and Sweden, as the case may be, including Regulation No. 596/2014 of the European Parliament and of the Council on market abuse (“MAR”), Commission delegated regulation (EU) 2016/1052 of 8 March 2016, Icelandic acts on limited liability companies, No. 2/1995 and on securities transactions, No. 108/2007, and Icelandic regulation on insider information and market manipulation, No. 630/2005.
