Creturner acquires Zonderacom, an analysis and data processing company with sales of approximately SEK 10 million and stable sales and profitability.
Creturner acquires Zonderacom, an analysis and data processing company with sales of approximately SEK 10 million and stable sales and profitability. The business will be integrated as a subsidiary in the group. Synergies with Creturners AI expertise will enable the business to develop and grow.
The transaction value is approximately SEK 6.7 million, including the assumption of liabilities of approximately SEK 4.7 million, where the direct purchase price of SEK 2 million consists of newly issued shares in Creturner valued at WVAP 0.15 öre/share.
The number of shares in Creturner will thus increase by 13,333,334, resulting in a dilution of the existing share capital of 57,641,501 shares to the new number of 70,974,835 shares, corresponding to just under 19% after dilution and 23% before dilution. The seller of the business is Hubbster Group AB and the transaction will be completed immediately.
The Board of Directors of Creturner Group AB is exercising its mandate to issue shares in order to promote the company's development. Specific information on when the shares have been registered with the Swedish Companies Registration Office will be announced in a press release.
