The board of EPTI decided in April 2023 to streamline the business to become an investment company focusing on artificial intelligence (AI) with an associated Idea Lab for the commercialization of new business ideas and to divest portfolio companies that are not judged to be in line with the new strategic direction. The company's sale of Actea Consulting is in line with the new strategic focus and the purpose of the sale is to reduce the group's debt ratio and net debt. The Company assesses that a reduced debt ratio increases the possibilities of bringing in new capital for the Company to implement the new strategic direction and thereby maximize the shareholders' return over time.
 
Actea Consulting has had a significant impact on the group's financial position during the financial years 2022 and 2023, which will be reflected in the group's upcoming financial reports for 2023. Actea Consulting's revenue amounted to SEK 77 million with a positive EBITDA of SEK 0.5 million during the financial year 2022. During the first quarter of 2023, Actea Consulting's revenue amounted to approximately SEK 20 million with a negative EBITDA of SEK 0.5 million. 

Actea Consulting is a consulting company within operational and organizational changes that was founded at the turn of the millennium. The business is divided into two business areas; Management and Defense. In total, there are approximately 50 consultants and business support resources employed.

EPTI acquired Actea Consulting through the acquisition of the company group Talnox Group in 2021. The board of EPTI made a decision in the spring of 2023 to streamline the business with the aim of becoming an investment company with a focus on Artificial Intelligence (AI) and to divest the portfolio companies that are not considered in line with the direction.

The divestiture takes place through a sale of EPTI's wholly-owned subsidiary Talnox Group AB ("Talnox Group"), which owns all the shares in Actea Consulting. In Talnox Group, since EPTI acquired the company in 2021, no other activity has been conducted than owning shares in subsidiaries and associated companies. Talnox Groups currently only owns shares in Actea Consulting.

The sale of Actea Consulting is conditional on EPTI's general meeting approving the transfer according to special rules regarding transfers of shares, etc. in chapter 16 the Companies Act. The board of EPTI intends to announce a notice for an extraordinary general meeting after the annual general meeting on June 30, 2023. Closing is expected to take place as soon as possible after EPTI AB's general meeting has examined the proposal for the transaction.
