Threshold exceeded for major shareholding notification due to buyback of own shares
Evolution AB (publ) hereby announces, in accordance with Chapter 4, Section 18 of the Financial Instruments Trading Act (1991:980), that the company on 3 August 2026 acquired 207,007 own shares, resulting in the company’s holding of own shares exceeding the threshold of 5 per cent of all shares in the company.
At the time of this press release, the company’s total holding of own shares amounts to 9,985,643 shares, corresponding to 5.01 per cent of all 199,226,613 shares and votes in the company.
The share buyback formed part of the share buyback program of a maximum of 19,922,661 shares for a total maximum amount of EUR 2 billion, which Evolution announced on 18 May 2026. The purpose of the share buyback program is to optimize the capital structure of the company by reducing the share capital, thereby creating added shareholder value. The share buyback program runs up to and including the day before the annual general meeting 2027 and is executed in accordance with the EU Market Abuse Regulation No 596/2014 (“MAR”) and the Commission Delegated Regulation (EU) 2016/1052 (“Safe Harbour Regulation”).
