BDF has since its inception in 1988 built a deep expertise in window repairs. The company is based in Sätra outside Stockholm where it also operates a window repair shop. Its customer group includes tenant-owner associations, property owners and property managers within Stockholm Municipality. BDF has reference projects such as the National Museum of Natural History, Haga Courthouse and the Royal Tennis Hall. The company has 38 full-time employees, and for the financial year 2020, its revenues amounted to roughly SEK 60 million.

Also, Fasadgruppen’s other subsidiaries will be able to send windows to BDF’s repair shop. We also see a strength in BDF’s solid experience from public procurements."

Fasadgruppen is using available credit facilities and existing cash to finance the acquisition of all shares in BDF. The sellers have undertaken to re-invest part of the purchase price by acquiring existing shares in Fasadgruppen within the next three months for an amount corresponding to SEK 5 million. The shares bought under the re-investment are subject to a lock-up commitment until 18 February 2022. The completion of the acquisition is not subject to any conditions, and BDF will therefore immediately become part of Fasadgruppen.
