Flerie AB's Nomination Committee for the Annual General Meeting 2025 has been appointed based on the ownership structure as of September 30, 2024. In accordance with the principles for the Nomination Committee, the members of the Nomination Committee of Flerie AB should be appointed by the three largest shareholders, as per September 30, 2024. In addition, the Chairman of the Board shall be a member of the Nomination Committee. The Nomination Committee is responsible for preparing and presenting proposals for the chairman, the members of the board, the board compensation, the audit fees, and the election of auditors.
As per September 30, the three largest shareholders constituted of Thomas Eldered representing T&M Participation AB and T&M Förvaltning AB (75.4% of the votes and share capital), the Fourth Swedish National Pension Fund (7.0%), Cajelo Invest Ltd (2.5%). The three largest shareholders represent 84.9 percent of the voting rights for all shares of Flerie AB and have appointed the following members to the nomination committee:
- Thomas Eldered appointed by T&M Participation AB and T&M Förvaltning AB
- Jannis Kitsakis appointed by the Fourth Swedish National Pension Fund
- Lars Backsell appointed by Cajelo Invest Ltd
Thomas Eldered is also adjunct in his role as the Chairman of the Board.
The Annual General Meeting 2025 will be held on May 14, 2025, in Stockholm, Sweden. Shareholders who would like to submit proposals to the Nomination Committee can do so by e-mail to nomination.committee@flerie.com. Proposals have to be received no later than February 28, 2025, to be considered by the Nomination Committee.
