The EGM resolved, in accordance with the Board of Directors’ proposal, to approve the Board’s resolution of 29 August 2025 on a directed issue of not more than 15,750,000 warrants of series TO4 (the “Warrants”) to Alexander Schoeneck, Bgl Management AB, Christian Månsson, Cibet AB, Dividend Sweden AB, Gryningskust Holding AB, Holger Poike, JEQ Capital AB, Jinderman & Partners AB (Jinderman.se), Ludvig Neset, Mats Burén, Olle Olsson, Philip Löchen and UBB Consulting AB (the “Investors”).

The Company has carried out a directed issue of shares to the Investors. As part of the arm’s length negotiations between the Board of Directors, together with the Company’s financial advisor, and the Investors, it was agreed that the Investors would receive warrants free of charge. The reason for the deviation from the shareholders’ pre-emption rights is therefore to fulfil that agreement.

The Warrants are issued free of charge. One (1) Warrant entitles the holder to subscribe for one (1) new share, whereby the Company’s share capital may increase by not more than SEK 2,362,500.714136 and the number of shares may increase by not more than 15,750,000 shares. The subscription price per share shall correspond to the lower of (i) SEK 0.48 and (ii) the lowest subscription price applied in any new share issues carried out by the Company during the term of the Warrants, however never lower than the share’s quota value. The exercise period for the Warrants runs from 4 September 2027 up to and including 15 September 2027.
