The exercise period for warrants of series TO5 in JonDeTech Sensors AB (publ) begins today

The Board of Directors wishes to inform holders of warrants of series TO5 that, as of the date of this press release, the subscription price upon exercise of the warrants exceeds the current market price of JonDeTech’s shares on NGM Growth Market.

If all warrants of series TO5 are exercised, the Company will receive approximately SEK 24.8 million before issue costs. To prevent the warrants from expiring worthless, holders must actively exercise their warrants to subscribe for new shares no later than November 9, 2026, or alternatively sell their warrants no later than November 4, 2026. Please note that certain nominees may have earlier deadlines for submitting exercise instructions than November 9, 2026.

Summary of the terms and conditions of the warrants of series TO5:

Exercise period: October 26, 2026 – November 9, 2026.

Subscription price: SEK 0.60 per share.

Issue volume: A total of 41,387,968 warrants of series TO5 entitle the holders to subscribe for 41,387,968 shares. If all warrants are exercised, the Company will receive approximately SEK 24.8 million before issue costs.

Last day of trading in warrants of series TO5: November 4, 2026.

Share capital and dilution: If all warrants are exercised, the share capital will increase by SEK 7,780,937.984, from SEK 18,720,476.564 to SEK 26,501,414.548. The number of shares will increase by 41,387,968, from 99,577,003 shares to 140,964,971 shares. The dilution resulting from full exercise of the warrants will amount to approximately 29.4 percent of the total number of shares.

Please note that warrants not exercised by November 9, 2026 or sold by November 4, 2026 will expire worthless. To prevent the warrants from expiring worthless, holders must actively exercise their warrants to subscribe for shares or sell their warrants before the respective deadlines.

How to exercise the warrants:
Nominee-registered warrants (custody account):
Subscription and payment through the exercise of warrants must be carried out in accordance with the instructions provided by the respective nominee. Please contact your nominee for further information.
Directly registered warrants (VP account):
No settlement notice or payment instructions will be sent out. Subscription must be made through simultaneous cash payment in accordance with the instructions provided on the subscription form. The warrants will subsequently be replaced by interim shares pending registration with the Swedish Companies Registration Office.
