The Chaiperson of the Shareholders' Nomination Board of Kamux Corporation changes. According to the company's stock exchange release published on February 19, 2025, Juha Kalliokoski, the founder of Kamux and Chairperson of the Nomination Board, has joined the company as Chief Operating Officer (COO) and member of the Group Management Team as of March 1, 2025. According to the rules of the Shareholders' Nomination Board, representatives of the company's operative management or employees cannot be members of the Nomination Board personally, but as shareholder they can appoint a member to the Nomination Board. Juha Kalliokoski and Callardo Capital Oy have appointed Pekka Pajamo, Senior Vice-President, Finance and Internal Services of Varma Mutual Pension Insurance Company, as their representative on the Shareholders' Nomination Board. The composition of the Shareholders' Nomination Board remains otherwise unchanged.

The composition of the Shareholders’ Nomination Board of Kamux Corporation for the term 2024–2025 is therefore as of today as follows:

• Juha Takala, representing the funds managed by OP-Rahastoyhtiö Oy
• Matias Arola, representing the funds managed by Danske Invest
• Terho Kalliokoski, Chairperson of Kamux Corporation’s Board of Directors

The members of the Shareholders’ Nomination Board are appointed annually and their term of office expires in principle when new members are appointed to the Nomination Board. The right to nominate the members representing the shareholders is determined based on ownership in order of magnitude on the first business day of August preceding the Annual General Meeting, according to the shareholders’ register held by Euroclear Finland Ltd. In addition, the Chairperson of the Board of Directors is a member of the Shareholders’ Nomination Board.

The purpose of the Nomination Board is to annually prepare and present to the Annual General Meeting, and when necessary to Extraordinary General Meeting, the proposals for the composition and remuneration of the Board of Directors. In addition, the Nomination Board’s duty is to look for successor candidates for the Board Members and to prepare the Board of Directors’ principles regarding diversity.

The Nomination Board has submitted its proposal to the Board of Directors for the 2025 Annual General Meeting on November 7, 2024.
