Norvik Hf, through its wholly-owned subsidiary Kivron AB[1] (“Norvik”), announced on 27 October 2023 a recommended public cash offer to the shareholders in Bergs Timber AB (publ) (“Bergs”) to tender any and all shares in Bergs to Norvik at a price of SEK 44.50 in cash per share (the “Offer”).

The offer document regarding the Offer has today been approved and registered by the Swedish Financial Supervisory Authority (Sw. Finansinspektionen).

The offer document is available at Norvik’s website relating to the Offer (www.kivron.se) and at Avanza Bank AB’s website (www.avanza.se). The offer document will also be available in Swedish at the Swedish Financial Supervisory Authority's website (www.fi.se). The acceptance form can be found on Norvik’s website relating to the Offer and on Avanza Bank AB's website. A pre-printed acceptance form and a self-addressed envelope will be distributed to the shareholders in Bergs whose shares are directly registered with Euroclear Sweden AB as per 31 October 2023, subject to applicable offer restrictions.

The acceptance period in the Offer commences on 1 November 2023 and ends on 29 November 2023 (but may be extended). Provided that the conditions for the Offer have been fulfilled or Norvik has otherwise decided to complete the Offer, settlement is expected to be initiated on or about 6 December 2023.
