Klappir Green Solutions hf. (“Klappir”) has entered into an agreement with Fossar fjárfestingarbanki hf. (“Fossar”), appointing Fossar as financial adviser and manager in connection with a contemplated capital raise, which is expected to take place in the second quarter of 2026, subject to required approvals under the company’s articles of association as well as market conditions.
The agreement was signed on 27 March 2026 and sets out the framework for the parties’ cooperation in relation to the contemplated transaction.
It is currently intended that the new shares with an aggregate value of up to EUR 8 million may be offered, subject to a minimum of EUR 2 million. Any new shares issued are expected to be B class shares and are intended to be admitted to trading on First North Iceland, subject to the applicable rules and approvals.
Fossar will advise on and manage the preparation and potential execution of the contemplated transaction. Discussions with prospective investors will be initiated in the upcoming weeks and the structure of the share capital increase will, among other things, be shaped by those discussions. Any further information will be disclosed to the market as required
The contemplated transaction, if implemented, is intended to support Klappir’s continued growth and strengthen its capital structure.
