KlaraBo Sverige AB completes property portfolio acquisition and share issue to SBB and publishes exemption document
On 18 May 2026, KlaraBo Sverige AB, reg. no. 559029-2727, (“KlaraBo”) announced that KlaraBo had entered into an agreement with SBB i Norden AB, reg. no. 559053-5174, (“SBB”), regarding the acquisition of a property portfolio comprising approximately 4,100 apartments in total (the “Portfolio Transaction” and the “SBB Portfolio”, respectively) through a share purchase agreement. The Portfolio Transaction was completed today, 23 September 2026, and KlaraBo has acquired all ordinary shares in the two companies owning the SBB Portfolio. In connection with KlaraBo’s application for admission to trading of the Class B shares, KlaraBo has produced a so-called exemption document in accordance with Article 1.5(ba) and Annex IX of the Prospectus Regulation.
In accordance with the terms of the share purchase agreement, KlaraBo has today issued and allotted 32,600,001 Class A shares and 74,997,402 Class B shares in KlaraBo to SBB, in accordance with the share issue resolution passed at the extraordinary general meeting on 26 June 2026.
Through the share issue, KlaraBo’s share capital will increase by SEK 5,379,870.15, from SEK 7,894,287.55 to SEK 13,274,157.70 and the number of shares in KlaraBo will increase by 107,597,403 shares, from a total of 157,885,751 shares to a total of 265,483,154 shares, of which 48,900,001 Class A shares and 216,583,153 Class B shares. The share issue results in a dilution for existing shareholders of approximately 40.5 per cent. The shares are expected to be registered with the Swedish Companies Registration Office, and the Class B shares are expected to be admitted to trading on Nasdaq Stockholm, on 24 September 2026.
In connection with KlaraBo’s application for admission to trading of the Class B shares, KlaraBo has produced an exemption document in accordance with Article 1.5(ba) and Annex IX of Regulation (EU) 2017/1129 of the European Parliament and of the Council of 14 June 2017 (the “Prospectus Regulation”). The exemption document has been prepared in accordance with the requirements of Annex IX of the Prospectus Regulation. The exemption document has today been registered with the Swedish Financial Supervisory Authority and is available on KlaraBo’s website, www.klarabo.se.
