NCAB acquires IMP Electronics Solutions in Australia

NCAB has today signed an agreement to acquire the business of IMP Electronics Solutions Pty Ltd, based in Adelaide, Australia. In the fiscal year ending 30 June, 2026, the company generated net sales of approximately AUD 9 million with profitability in line with that of NCAB.

Founded in 1964, IMP is the largest dedicated PCB trading company in Australia, with a customer base across Australian industry and exports to New Zealand and other markets. The company has built a solid market position and is recognised for its technical support and service. Its customer base includes companies within the industrial and defence sectors. The business has a team of 12, of which 6 are based in Adelaide, Australia and 6 in China, all of whom will transfer to NCAB. The acquisition establishes NCAB’s local presence in the Australian market – a new geography for NCAB with promising opportunities for further growth.

The transaction is subject to customary closing conditions, including regulatory approval in Australia, and is expected to close in the fourth quarter of 2026. Elio Franco and Allan Zhang will remain with the business following completion to ensure a smooth transition and continued growth. The acquisition is expected to contribute positively to NCAB Group’s earnings in 2027. Synergies are anticipated in the areas of supplier relationships, payment terms and logistics, as well as sales synergies building on IMP’s strong local customer relationships.

The upfront fixed purchase price, on a cash and debt‑free basis, amounts to AUD 4.0 million. The transaction also includes an earn‑out of up to AUD 2,75 million based on financial performance during the next 24 months.
