Nordic Waterproofing Holding AB’s Nomination Committee ahead of 2025 Annual General Meeting has been formed, based on ownership in the company as of 31 August 2024 and taking into account changes that have taken place thereafter.
According to the instruction for the Nomination Committee adopted by the Annual General Meeting on 28 April 2022, Nordic Waterproofing's Nomination Committee shall consist of members appointed by the four largest shareholders in terms of voting rights who wish to participate in the Nomination Committee. The Nomination Committee shall be formed based on shareholder statistics as of the last banking day in August the year before the Annual General Meeting. At that time, Kingspan Group PLC, Samson Rock Capital LLP, TFG Asset Management and Dimensional Fund Advisors were the four largest owners.
If, during the Nomination Committee's term of office, one or more of the shareholders who have appointed members of the Nomination Committee are no longer among the four largest shareholders in terms of voting rights, the members appointed by these shareholders shall resign and the shareholder or shareholders who have become one of the four largest shareholders in terms of voting rights shall have the right to appoint their representatives.
As of the last banking day in November, the Group's four largest shareholders were Kingspan Group PLC, Dimensional Fund Advisors, Canaccord Genuity Wealth Management and DNCA Finance S.A.. Handelsbanken Funds was the Group's fifth largest shareholder. Samson Rock Capital LLP and TFG Asset Management have announced that they are relinquishing their seats on the Nomination Committee and Dimensional Fund Advisors has not expressed an interest to participate. Canaccord Genuity Wealth Management has announced that they wish to participate in the Nomination Committee, DNCA Finance S.A. has been offered a seat on the Nomination Committee but has chosen not to, whereby Handelsbanken Fonder has been offered and accepted a seat on the Nomination Committee.
In accordance with the shareholders' decision, Nordic Waterproofing's Nomination Committee has been formed and consists of a total of three members.

- Anna Sundberg, representing Handelsbanken Fonder
Mats O Paulsson, Chairman of the Board of Nordic Waterproofing Holding AB, is a co-opted member of the Nomination Committee.
In total, the Nomination Committee represents approximately 87.7 percent of the voting rights for all shares in Nordic Waterproofing Holding AB, based on the ownership structure as of 30 November 2024.
The main duties of the Nomination Committee are to nominate candidates for the positions of chairman of the board and other members of the board, and to submit proposals for fees and other remuneration to be paid to each of the board members.
Shareholders who wish to present proposals to the nomination committee are welcome to submit them by email: nominationcommittee@nordicwaterproofing.com. In order for the nomination committee to be able to consider submitted proposals, these should be submitted by 31 December 2024, at the latest.
The Annual General Meeting of Nordic Waterproofing Holding AB will be held in Helsingborg, Sweden, on 29 April 2025.
