Nordic Waterproofing Holding AB’s (“Nordic Waterproofing”) main owner Kingspan Holdings (IRL) Limited (“Kingspan”) has today announced that Kingspan has acquired shares in Nordic Waterproofing resulting in that Kingspan thereafter owns shares which in the aggregate correspond to 30.9 per cent of the shares and votes in Nordic Waterproofing. Thereby, the threshold for a mandatory offer in accordance with the Swedish Takeover Act has been exceeded. According to the press release, Kingspan intends to launch a mandatory offer for the remaining shares in Nordic Waterproofing within four weeks from today at a price of SEK 160 per share, which corresponds to the price that Kingspan has paid in the acquisition triggering the mandatory offer.
