As announced in the stock exchange notice of 11 June 2025, Orkla India Limited (“Orkla India”) filed a draft red herring prospectus dated 10 June 2025 with the Securities and Exchange Board of India (“SEBI”), BSE Limited (“BSE”) and National Stock Exchange of India Limited (“NSE” and together with BSE as the “Indian Stock Exchanges”) in connection with a proposed initial public offering of its equity shares of the face value of INR 1 each (“Equity Shares” and the initial public offering by Orkla India as the “Offer”).

Orkla India has now filed the red herring prospectus dated 23 October 2025 (“RHP”) with the Registrar of Companies, Karnataka at Bengaluru and subsequently with SEBI and the Indian Stock Exchanges.

The Offer, as described in the RHP, comprises an offer for sale of up to 22,843,004 Equity Shares ("Offered Shares"), undertaken by Orkla Asia Pacific Pte. Ltd., an indirect wholly owned subsidiary of Orkla ASA, and certain other eligible shareholders of Orkla India. Orkla Asia Pacific Pte. Ltd. is offering up to 20,560,768 Equity Shares, representing approximately 90% of the total number of Offered Shares.

The Bid/Offer Period is from Wednesday, 29 October 2025 to Friday, 31 October 2025. The Anchor Investor Bidding Date is Tuesday, 28 October, 2025. The Price Band for the Offered Shares ranges from the Floor Price of INR 695 per Equity Share (approximately NOK 79 per Equity Share) to the Cap Price of INR 730 per Equity Share (approximately NOK 83 per Equity Share) (the “Price Band”).

Subject to receipt of final listing and trading approvals from the Indian Stock Exchanges, the trading of the Equity Shares of Orkla India on the Indian Stock Exchanges will commence on or about Thursday, 6 November 2025.
