The extraordinary general meeting (EGM) of Precise Biometrics AB took place on 5 September 2022. The EGM resolved in line with all of the proposals presented in the notification to attend the EGM. For complete information, see the notice to attend the EGM on the company's website.
Resolution to approve the board of directors’ resolution on new issue of ordinary shares with pre-emption rights for existing shareholders
The EGM resolved, in accordance with the board’s proposal, to approve the board of directors’ resolution on new issue of ordinary shares with pre-emption rights for existing shareholders. On 10 August 2022, the board of directors of the company resolved, subject to approval by the general meeting, on a rights issue of a maximum of 6,599,399 ordinary shares at a subscription price of SEK 6.44 per share. The record date for participation in the new issue will be 8 September 2022, and the subscription period will run from 12 September 2022 to 26 September 2022.
Authorisation for the board of directors to resolve on issue of shares and/or convertible instruments
The EGM resolved, in accordance with the board’s proposal, to authorise the board to resolve to issue a maximum of 2,339,787 new ordinary shares. The authorisation may be used so that the company can issue new shares to Egis Technology Inc in accordance with the over-allotment option that the company announced on 10 August 2022.
The EGM further resolved, in accordance with the board’s proposal, to authorise the board to issue ordinary shares and/or convertible instruments corresponding to an increase of the company’s share capital with not more than 20 percent of the share capital as per the date of the resolution on the new issue.
