Reference is made to the stock exchange announcement made by Public Property Invest ASA ("PPI") on 20 May 2025, informing of the completion of the transaction with TRG Real Estate AS, and the resolution by PPI's board of directors to issue 30,524,657 consideration shares (the "Tranche 1 Shares") and 43,956,920 consideration shares (the "Tranche 2 Shares"), in total 74,481,577 shares, as partial consideration under the transaction.
The share capital increase pertaining to the two tranches has now been registered with the Norwegian Register of Business Enterprises, and PPI's share capital following such registration is NOK 14,713,316.05 divided into 294.266.321 shares, each with a nominal value of NOK 0.05.
The Tranche 1 Shares will be issued under PPI's regular ISIN NO0013178616 and will be immediately tradeable on Euronext Oslo Børs upon issue. The Tranche 2 Shares will be issued on a separate interim and unlisted ISIN, pending the approval by the Financial Supervisory Authority of Norway of a listing prospectus for such shares (the "Prospectus"). Following approval of the Prospectus, the Tranche 2 Shares will be transferred to PPI's regular ISIN and become tradeable on Euronext Oslo Børs.
