Qlucore AB (publ) ("Qlucore" or the "Company") has received additional subscription commitments of approximately SEK 4.0 million in connection with the ongoing rights issue of shares of up to approximately SEK 16.1 million, which was announced on June 26, 2025, and approved by the extraordinary general meeting on July 31, 2025 (the "Rights Issue"). The guarantors have entered subscription commitments to utilize transferred subscription rights for participation in the Rights Issue. The amount of these commitments will be offset against any allocation of shares under the guarantee commitment.
In connection with the Rights Issue, a number of existing shareholders have agreed to transfer part of their allotted subscription rights free of charge to Stockholm Corporate Finance AB, for further transfer, provided that the subscription rights are used to subscribe for shares in the ongoing Rights Issue. The guarantors have entered into subscription commitments to exercise such transferred subscription rights for participation in the Rights Issue. The amounts of these commitments will be offset against any allocation under the guarantee commitment. The guarantors have committed to subscribe for shares in the Rights Issue corresponding to approximately SEK 4.0 million using transferred subscription rights. The distribution of these commitments amounts to approximately SEK 1.6 million from Daniel Nilsson, approximately SEK 1.4 million from Mikrolund Holding AB, approximately SEK 0.7 million from Palmstierna Invest AB, and approximately SEK 0.2 million from Kjell Sjöström.
The Company considers it positive that the guarantors have entered into additional subscription commitments in the Rights Issue. By subscribing for shares and thereby becoming shareholders in the Company, the investor base is strengthened with parties who have a long-term perspective and an interest in the Company’s future development.
In addition to previously entered subscription commitments of approximately SEK 2.8 million, corresponding to approximately 17.5 percent of the Rights Issue, additional commitments have now been made to subscribe for shares totaling approximately SEK 4.0 million, corresponding to approximately 24.7 percent of the Rights Issue. The total subscription commitments thus amount to approximately SEK 6.8 million, corresponding to approximately 42.2 percent of the total amount of the Rights Issue. As the Rights Issue is already fully covered by subscription and guarantee commitments, the newly added subscription commitments of approximately SEK 4.0 million will be offset against any allocation of shares under the guarantee commitment.
No compensation will be paid for the subscription commitments. The commitments are not secured by bank guarantees, escrow funds, pledges, or similar arrangements.

Stockholm Corporate Finance AB is the financial advisor and Advokatfirman Lindahl KB is the legal advisor to Qlucore in connection with the Rights Issue. Aqurat Fondkommission AB is the issuing agent in connection with the Rights Issue.
