29 August 2025: ReFuels N.V. (ticker: REFL) ("ReFuels"), one of Europe’s leading suppliers of renewable biomethane (Bio-CNG) for the decarbonisation of heavy goods vehicles, today published its audited accounts for the financial year ending 31 March 2025 (the “Financial Statements”).
The Financial Statements are consolidated accounts for the ReFuels Group, comprising CNG Fuels Ltd and Renewable Transport Fuel Services Limited.
Material changes from the Q4 2025 report to the Annual report are the reclassification of all Assets and Liabilities of the subsidiaries to Assets and Liabilities ´held for sale´ under IFRS 5 as a result of the transaction which completed on 11th April 2025. This will impact the presentation of the Statement of Financial Position, the Profit and Loss and the Statement of Changes in Equity. There were Group relief income tax adjustments resulting in a positive net change of approximately GBP 818k in the annual report.
As part of a strategic transaction completed on 11 April 2025, ReFuels and funds under management of the Foresight Group simplified the ownership structure of the CNG station network, making it a fully integrated, equity-funded clean fuel infrastructure platform. The working capital loans and interest owed to Foresight were converted into CNG Fuels shares. This strengthens CNG Fuels’ balance sheet and consolidates infrastructure, biomethane sourcing and certificate generation under one platform with improved access to growth financing. As a result of this transaction, the CNG Fuels and RTFS entities are presented as discontinued operations in the Financial Statements.
The Financial Statements are published ahead of submission for the approval by the shareholders of ReFuels at the upcoming Annual General Meeting of Shareholders, scheduled to take place on 18 September 2025 (the “AGM”). ReFuels will publish the convocation and related documents for its AGM in due course.
Note: Financial results for CNG Foresight Limited, the Bio-CNG station owning joint venture with Foresight Group, are not consolidated into the ReFuels Group.
