In connection with RVRC Holding AB’s (the “Company”) Annual General Meeting held on 10 November 2022, a warrant program for senior executives in RVRC, LTIP 2022/2026, was introduced. In accordance with the warrant terms, the subscription period for LTIP 2022/2026 runs from 15 November 2025 to 15 May 2026.
Participants in LTIP 2022/2026 have exercised warrants through a facility. The facility includes, among other things, the sale of shares and the raising of a short-term share loan, which is repaid following the exercise of the warrants.
The transactions are reported to the Swedish Financial Supervisory Authority in accordance with applicable regulations. Members of the Company’s management team who participated in LTIP 2022/2026 have exercised all of their warrants. The Company’s CEO, Paul Fischbein, has notified the Company that he has increased his shareholding by 95,592 shares. Following the transactions, Paul Fischbein’s total shareholding amounts to 650,000 shares.
Registration of new shares resulting from the exercise of the warrants is ongoing and is expected to be finalised during February. Through the exercise of the warrants, the Company will receive proceeds of SEK 56,310,773 and issue 1,549,980 shares.
