Simris Group confirms that 100 % of its upcoming SEK 24,3 million rights issue now is underwritten with 8,8 precent in subscription commitments and 91,2 precent in guarantee commitments.
After resolution on the extraordinary general meeting (EGM), 24 July 2023, a majority of the board members have entered into subscription and guarantee commitments as intended in the press release from 5 July 2023.
The underwriters of the rights issue will, on the same terms as in the rights issue, participate in a directed issue with the corresponding unutilized part of the underwriting commitment, and for an additional SEK 4.4 million as underwriter compensation. The directed issue can amount to a maximum of approximately SEK 26.6 million.
Provided that the rights issue and the directed issue are fully subscribed (which will be the case if the rights issue is fully subscribed without the utilization of the underwriting commitments), the Company will receive proceeds of approximately SEK 51 million before the deduction of transaction costs.
